Princess Auto’s Your Resolution Solution Contest - Official Rules and Regulation
Contest begins on Monday, January 4th, 2021 at 08:00 CST and ends Sunday, January 31st, 2021, 23:59 CST. No purchase necessary. Participants must enter online by describing the project, they will complete with the prize winnings. A photo or video to help explain is encouraged, but not required for entry. Winner will be emailed a virtual Princess Auto Gift card with a value of $500. Winner must also agree to record their project progress for internal and external use of Princess Auto including but not limited to social media and website.
Total value of the prize to be won is $500. Odds of winning the prize are dependent on the number of entries received. Participants must enter https://prnc.es/Resolution2021. One (1) Winner will be selected on Wednesday, February 3rd, 2021 , at approximately 10:00 AM CST. The Winner is required to answer a time-limited, mathematical skill-testing question.

PROMOTION PERIOD

ELIGIBILITY
To enter and be eligible to win, you must be a legal resident of Canada who has reached the legal age of majority in his/her province or territory of residence (the "Participant"). Persons in any of the following categories are NOT eligible to participate or win prizes:
HOW TO ENTER & PLAY
Participants must fill out the entry ballot at https://prnc.es/Resolution202, describing the project to be completed with the prize earnings. Limit of 1 entry, per person. Winner must also agree to record their project progress for internal and external use of Princess Auto including but not limited to social media and website.
VERIFICATION
All purported entries and/or eligible entrants are subject to the Sponsor’s verification at any time and for any reason. The Sponsor reserves the right, in its sole and absolute discretion, to require proof of identity and/or eligibility (in a form acceptable to the Sponsor, including, without limitation, government issued photo identification): (i) for the purposes of verifying an individual’s eligibility to participate in this Contest; (ii) for the purposes of verifying the eligibility and/or legitimacy of an Entry; and/or (iii) for any other reason the Sponsor deems necessary, in its sole and absolute discretion, for the purposes of administering this Contest in accordance with these Rules. Failure to provide such proof to the complete satisfaction of the Sponsor in a timely manner may result in disqualification in the sole and absolute discretion of the Sponsor. The sole determinant of the time for the purposes of a valid Entry in this Contest will be the Sponsor’s clock.
PRIZES
At the outset of the Promotion, the maximum value of the total prize to be won is $500. There is one (1) prize to be won. Limit of one prize per Participant during the Promotion Period.
By entering the Promotion, Potential Winners: (i) acknowledge that the Sponsor or their directors, employees, or agents, are not responsible or liable for any warranty, representation, or guarantee, express or implied, in fact or in law, relative to any prize, including but not limited to its quality, mechanical condition or fitness for a particular purpose, and acknowledge that any and all warranties and/or guarantees on a prize (if any) are subject to the respective manufacturers' terms therefore, and Winners agree to look solely to such manufacturers for any such warranty and/or guarantee; (ii) acknowledge that the Prizes are not transferable or redeemable for cash and must be accepted as awarded, with no substitutions of any kind, except by the Sponsor, who reserves the right to substitute a prize (or portion thereof) of comparable or greater value, at its sole discretion, including without limitation a cash award; and (iii) understand that to be eligible to win a Prize, they must correctly answer a mathematical skill-testing question to be administered by the Sponsor, without mechanical or other aid.
All federal, provincial, and local taxes, if any, as well as any other costs and expenses associated with prize acceptance and use not specified herein as being provided are each Winner's responsibility. All prize details are at the Sponsor's sole discretion.
HOW TO CLAIM YOUR PRIZE
Winners will be contacted through email or social media and must return a Declaration and Release form within 48 hours of receipt, failing which the Potential Winner will forfeit all rights to the Prize. If a Potential Winner:
Allow 6 to 8 weeks for verification and emailing of the Prize to the winner. Sponsor shall not be held responsible for any delays in awarding prizes for any reason beyond the Sponsor's reasonable control.
By accepting a Prize, Winner consents to the use of his/her name, address (city and province of residence), voice, and statements relating to the Promotion or Sponsor, and photographs or other likenesses, without further compensation, notification or permission in any publicity or advertising carried out by or on behalf of the Sponsor in any and all media now known or hereinafter developed without territorial or time limitation, except where prohibited by law.
WINNER SELECTION (ONE WIN IN FEBRUARY) AND ODDS OF WINNING
On February 3, 2021 (the “Draw Date”), in Winnipeg, MB at approximately 10:00am CST, one (1) eligible entrant will be selected by random draw (the “Draw”) from among all eligible Entries submitted during the applicable Information Submission Period in accordance with these Rules and not otherwise disqualified by the Sponsor. Entries that are not selected will not be included in any subsequent Draw. The odds of winning depend on the number of eligible Entries submitted and received during the applicable Information Submission Period in accordance with these Rules.
WINNER NOTIFICATION
On the Draw Date, the Sponsor or its designated representative will make two (2) attempts to contact the entrant selected on the applicable Draw Date by email (using the information provided at the time of entry) within the 48 hours immediately following the applicable Draw. Winner must sign and return declaration form by Friday, February 5, 2021. If the selected entrant cannot be contacted as indicated above; then he/she may, in the sole and absolute discretion of the Sponsor, be disqualified (and, if disqualified, will forfeit all rights to the applicable Prize) and the Sponsor reserves the right, in its sole and absolute discretion and time permitting, to randomly select an alternate eligible entrant from among the remaining eligible Entries in the applicable Draw (in which case the foregoing provisions of this section shall apply to such newly selected entrant, with the necessary amendments).
WINNER CONFIRMATION
BEFORE BEING DECLARED A CONFIRMED PRIZE WINNER, the selected entrant will be required to: (a) correctly answer a mathematical skill-testing question without mechanical or other aid; and (b) sign and return within forty-eight (48) hours of notification the Sponsor’s declaration and release form, which (among other things): (i) confirms eligibility and compliance with these Rules; (ii) acknowledges acceptance of the Prize (as awarded); (iii) releases the Contest Parties and each of their respective officers, directors, agents, representatives, successors and assigns (collectively, the “Released Parties”) from any and all liability in connection with this Contest, his/her participation therein and/or the awarding and use/misuse of the applicable Prize or any portion thereof; (iv) agrees to have his/her photo and/or video taken with, (each a “Photo and Video”) on a date and time and at a location specified by the Sponsor (in consultation with the selected entrant); (v) agrees to the publication, reproduction and/or other use of his/her name, the municipality in which he/she resides, voice, statements about the Contest and/or Photo and Video or other likeness without further notice or compensation, in any publicity, promotion or advertisement carried out by or on behalf of the Sponsor in any manner or medium whatsoever, including print, television broadcast or the internet; and (vi) verifies his or her identity as the entrant to the sole satisfaction of the Sponsor.
CONDITIONS OF ENTRY
By entering, Participants (i) acknowledge compliance with these Official Rules including all eligibility requirements and, (ii) agree to be bound by the decisions of the Sponsor made in their sole discretion, which shall be final and binding in all matters relating to this Promotion. Participants who have not complied with these Official Rules are subject to disqualification and all associated entries will be void.
Sponsor reserves the right to disqualify any Participant's registration in the Promotion (and void all associated entries) or entitlement to a prize if, in the sole discretion of Sponsor, it determines or suspects that the Participant has attempted to undermine the legitimate operation of the Promotion by entering more than one time. If a dispute arises from more than one Participant regarding a mismatch in mailing or email information, the correct contact information will be validated by matching the name of the Participant in the till system, with government issued identification by submission in-person, via fax, or via email.
As a condition of entering, Participants agree: (a) to release and hold harmless the Sponsor and each of its respective officers, directors, employees and agents from any and all liability, loss or damage incurred with respect to participating in the Promotion or the awarding, receipt, possession, and/or use or misuse of any prize, (b) that under no circumstances will the Participant be permitted to obtain awards for, and the Participant hereby waives all rights to claim, punitive, incidental, consequential, or any other damages, in relation with the Promotion; (c) all causes of action arising out of or connected with this Promotion, or any prize awarded, shall be resolved individually, without resort to any form of class action; and (d) any and all claims, judgments, and awards shall be limited to actual out-of-pocket costs incurred, and in no event will Participants be entitled to receive attorneys' fees and court costs; (e) agrees that their image may be used in all promotion as it relates to the contest including social media and website.
PROMOTION OPERATION
Sponsor reserves the right in its sole discretion, and subject only to the Régie des alcohols, des courses et des jeux, to cancel, modify or suspend this Promotion at any time if fraud, technical failures, including any network server or hardware failure, viruses, bugs, errors in programming, or any other errors or other causes corrupt the administration, security, integrity or proper play of the Promotion. In the event of cancellation, Sponsor reserves the right (but shall be under no obligation) to select alternate Winners from among all eligible, non-suspect entries received up to time of such cancellation.
DISCLOSURES
All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the Participant and Sponsor in connection with the Promotion, shall be governed by and construed in accordance with the substantive laws of the province of Manitoba without regard to Manitoba or any other conflicts of law principles. All Participants consent to the jurisdiction and venue of the province of Manitoba. The invalidity or unenforceability of any provision of these Official Rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Official Rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. In particular, Sponsor's employees are not authorized to waive, modify or amend any provision or provisions of these Official Rules in any manner whatsoever.
This Promotion is subject to all federal, provincial, and municipal laws.
This Promotion is in no way sponsored, endorsed or administered by, or associated with, Facebook. You understand that you are providing your information to Sponsor and not to Facebook. The information you provide will only be used for the administration of this Promotion and otherwise as provided in Sponsor's Privacy Policy (https://www.princessauto.com/en/about-us/privacy-policy). Any questions, comments or complaints regarding this Promotion must be directed to Sponsor and not to Facebook.
For Quebec residents: Any litigation respecting the conduct or organization of a publicity contest may be submitted to the Régie des alcools, des courses et des jeux for a ruling. Any litigation respecting the awarding of a prize may be submitted to the board only for the purpose of helping the parties reach a settlement.
RIGHT TO DECIDE, AMEND, CANCEL, SUSPEND
The Sponsor reserves the right to cancel, modify, or suspend the contest, or to amend these Rules, at any time and in any way, without prior notice, for any reason whatsoever. Without limiting the foregoing, if for any reason the contest is not capable of running as originally planned for any reason whatsoever, the sponsor reserves the right to cancel or suspend the contest. The decisions of the sponsor with respect to all aspects of this contest are final and binding on all entrants without right of appeal, including, without limitation, any decisions regarding the eligibility/disqualification of entries and/or entrants.

DURÉE DU CONCOURS
1. Le concours « 2021 SOLUTION RÉSOLUTION » est tenu par Princess Auto Ltd.,475 Panet Road, Winnipeg, Manitoba, R3C 2W7, Il débute à 7h00 le 4 janvier, 2021 et se termine à 22h59 le 31 janvier, 2021 (heure de l’Est).
ADMISSIBILITÉ
2. Pour participer et être admissible à gagner, vous devez être un résident légal du Canada qui a atteint l'âge légal de la majorité dans sa province ou son territoire de résidence (le "participant"). Les personnes appartenant à l'une des catégories suivantes ne sont PAS admissibles à participer ou à gagner des prix :

Les Organisateurs du concours ne sont pas responsables pour toutes participations tardives, perdues, mal acheminées, incomplètes, illisibles, endommagées ou incompatibles (toutes sont nulles).
PRIX
5. Un (1) gagnant remportera ce (1) prix :
Le prix sera envoyé par courrier électronique. Le prix n’est pas échangeable pour sa valeur monétaire. Aucune substitution n’est possible, sauf au choix des Organisateurs du concours. Ceux-ci se réservent le droit, à leur seule et absolue discrétion, de remplacer le prix par un prix de valeur égale ou supérieure si désiré.
LE TIRAGE
6. Le 3 février 2021, vers 10h00 (heure centrale), aux bureaux de Princess Auto, situés au Manitoba, un (1) participant éligible sera sélectionné par tirage au sort (le " Tirage ") parmi toutes les participations éligibles soumises pendant la période de soumission d'informations applicable conformément au présent règlement et non autrement disqualifiées par le Sponsor. Les participations qui ne sont pas sélectionnées ne seront pas incluses dans un tirage au sort ultérieur.
CHANCES DE GAGNER
7. Les chances de gagner dépendent du nombre d'Inscriptions éligibles soumises et reçues pendant la Période de Soumission d'Informations applicable conformément au présent Règlement.
NOTIFICATION DU GAGNANT
8. Le jour du tirage, le Sponsor ou son représentant désigné tentera à deux (2) reprises de contacter le participant sélectionné à la date du tirage applicable par e-mail (en utilisant les informations fournies au moment de la participation) dans les 48 heures suivant immédiatement le tirage applicable. Le gagnant doit signer et retourner le formulaire de déclaration au plus tard le vendredi 5 février, 2021. Si le participant sélectionné ne peut pas être contacté comme indiqué ci-dessus, il peut, à la seule et absolue discrétion du Sponsor, être disqualifié (et, s'il est disqualifié, il perdra tous ses droits au Prix applicable) et le Sponsor se réserve le droit, à sa seule et absolue discrétion et si le temps le permet, de sélectionner au hasard un autre participant admissible parmi les participations admissibles restantes du Tirage applicable (auquel cas les dispositions précédentes de cette section s'appliqueront à ce nouveau participant sélectionné, avec les modifications nécessaires).
REMISE DES PRIX
9. Afin d’être déclarée gagnante et de réclamer son prix, la personne sélectionnée au hasard pour un prix devra :
9.1 Signer et retourner le formulaire de déclaration au plus tard le vendredi 5 février, 2021.
10. À défaut de remplir l’une des conditions mentionnées au présent Règlement, d’être jointe dans le délai imparti, ou si elle refuse son prix, la personne sélectionnée sera disqualifiée et n’aura pas droit à son prix. Dans une telle éventualité, les Organisateurs du concours pourront, à leur discrétion, annuler le prix ou procéder à un nouveau tirage, et ce, selon la procédure prévue au présent Règlement, jusqu’à ce qu’un participant soit désigné et déclaré gagnant.
11. Sur réception du Formulaire de déclaration dûment signé, Princess Auto Ltd. transmettra le prix au gagnant.
CONDITIONS GÉNÉRALES
12. Vérification. Les Formulaires d’inscription et le Formulaire de déclaration peuvent faire l’objet d’une vérification par les Organisateurs du concours. Ces derniers se réservent le droit, à leur seule et absolue discrétion, d’exiger une preuve d’identité et/ou d’admissibilité (sous une forme acceptable pour les Organisateurs du concours, y compris, sans limitation, une pièce d’identité avec photo délivrée par le gouvernement): (i) aux fins de vérification de l'admissibilité d'une personne à participer au Concours; (ii) afin de vérifier l'admissibilité et/ou la légitimité d'une entrée; et/ou (iii) pour toute autre raison que les Organisateurs jugent nécessaire, conformément au présent Règlement. Tout Formulaire d’inscription ou Formulaire de déclaration qui est, selon le cas, incomplet, illisible, frauduleux, enregistré ou transmis en retard, comprenant une adresse de courriel ou un numéro de téléphone invalides, comprenant une réponse incorrecte à la question d’habileté mathématique ou autrement non conforme, pourra être rejeté et ne donnera pas droit, selon le cas, à une inscription au Concours ou au prix.
13. Disqualification. Les Organisateurs du concours se réservent le droit de disqualifier une personne ou d’annuler l’inscription d’une personne, si elle participe ou tente de participer au Concours en utilisant un moyen contraire au présent Règlement ou de nature à être inéquitable envers les autres participants (p. ex., inscriptions au-delà de la limite permise, piratage, etc.). Cette personne pourrait être livrée aux autorités judiciaires compétentes.
14. Déroulement du Concours. Toute tentative visant à endommager délibérément le Site du concours et/ou tout site y étant lié ou à saboter le déroulement légitime du Concours constitue une violation des lois civiles et criminelles. Si de telles tentatives étaient menées, les Organisateurs du concours se réservent le droit de rejeter les inscriptions du participant et d’obtenir réparation en vertu de la loi.
15. Acceptation du prix. Le prix devra être accepté tel qu’il est décrit au présent Règlement et ne pourra en aucun cas être, en totalité ou en partie, transféré à une autre personne ou substitué à un autre prix. Le gagnant doit également accepter d'enregistrer l'avancement de son projet pour une utilisation interne et externe de Princess Auto, y compris, mais sans s'y limiter, les médias sociaux et le site web.
16. Limitation de responsabilité : utilisation du prix. En participant à ce concours, tout participant choisi pour un prix dégage de toute responsabilité les Organisateurs du concours, toute compagnie, société, fiducie ou autre entité juridique contrôlée par ou liée à ceux-ci, leurs agences de publicité et de promotion, leurs employés, agents, représentants et mandataires (les « Bénéficiaires ») de tout dommage qu’il pourrait subir en raison de l’acceptation ou de l’utilisation de son prix.
17. Limitation de responsabilité : fournisseur de prix. Tout participant sélectionné pour un prix reconnaît qu’à compter de la remise du prix, les obligations liées à celui-ci deviennent la responsabilité du fournisseur de services composant le prix.
18. Fonctionnement du Site du concours. Les Organisateurs du concours ne garantissent d’aucune façon que le Site du concours ou tout site internet y étant lié soit accessible ou fonctionnel sans interruption pendant la Durée du concours ou qu’il soit exempt de toute erreur.
19. Limite de responsabilité : fonctionnement du Concours. Les Bénéficiaires se dégagent de toute responsabilité relativement au mauvais fonctionnement de toute composante informatique, de tout logiciel ou de toute ligne de communication, relativement à la perte ou à l’absence de communication réseau ou relativement à toute transmission défaillante, incomplète, incompréhensible ou effacée par tout ordinateur ou tout réseau et qui peut limiter pour toute personne la possibilité de participer au Concours ou l’en empêcher. Les Bénéficiaires se dégagent aussi de toute responsabilité pour tout dommage ou toute perte pouvant être causé(e), directement ou indirectement, en tout ou en partie, par le téléchargement de toute page internet ou de tout logiciel ou autre et par la transmission de toute information visant la participation au Concours.
20. Modification du Concours. Les Organisateurs du concours se réservent le droit, à leur entière discrétion, d’annuler, de terminer, de modifier ou de suspendre, en tout ou en partie, le oncours dans l’éventualité où il se manifesterait un événement ou toute intervention humaine pouvant altérer ou influencer l’administration, la sécurité, l’impartialité ou le déroulement du Concours comme prévu dans le présent Règlement, et ce, sous réserve de l’approbation de la Régie des alcools, des courses et des jeux du Québec, si requise.
21. Fin de la participation au Concours. Dans l’éventualité où le système informatique ne serait pas en mesure d’enregistrer toutes les inscriptions au Concours pendant la Durée du concours, et ce, pour quelque raison que ce soit, ou si la participation au Concours devait prendre fin en totalité ou en partie avant la date de fin prévue au présent Règlement, le tirage pourra se faire, à la discrétion des Organisateurs du concours, parmi les inscriptions dûment enregistrées pendant la Durée du concours ou, selon le cas, jusqu’à la date de fin de participation au Concours.
22. Limite de prix. Dans tous les cas, les Organisateurs du concours ne pourront être tenus d’attribuer plus de prix ou d’attribuer un prix autrement que conformément au présent Règlement.
23. Limite de responsabilité : participation au Concours. En participant ou en tentant de participer au Concours, toute personne dégage de toute responsabilité les Bénéficiaires de tout dommage qu’elle pourrait subir en raison de sa participation ou tentative de participation au Concours.
24. Autorisation. En prenant part au Concours, tout participant choisi pour un prix autorise les Organisateurs du concours et leurs représentants à utiliser, si requis, ses nom, photographie, image, voix, lieu de résidence et/ou déclaration relative au prix à des fins publicitaires, et ce, sans aucune forme de rémunération.
25. Communication avec les participants. Aucune communication ou correspondance ne sera échangée avec les participants dans le cadre du Concours autrement que conformément au présent Règlement ou à l’initiative des Organisateurs du concours.
26. Renseignements personnels. Les renseignements personnels recueillis sur les participants dans le cadre du Concours seront seulement utilisés pour l’administration du Concours. Aucune communication, commerciale ou autre, non liée au Concours ne sera envoyée au participant, à moins qu’il n’y ait autrement consenti.
27. Propriété. Les Formulaires de déclaration et le Formulaire d’exonération sont la propriété des Organisateurs du concours et ne seront en aucun cas retournés aux participants sélectionnés.
28. Identification du participant. Aux fins du présent Règlement, le participant est la personne dont le nom apparaît sur le Formulaire d’inscription ou qui a été validé lors de l’inscription via le compte Facebook et c’est à cette personne que le prix sera remis si elle est choisie et déclarée gagnante.
29. Décision des Organisateurs du concours. Toute décision, des Organisateurs du concours ou de leurs représentants, relative au Concours est finale et sans appel, sous réserve de toute décision de la Régie des alcools, des courses et des jeux du Québec, concernant toute question relevant de sa compétence.
30. Différend. Un différend quant à l’organisation ou à la conduite d’un concours publicitaire peut être soumis à la Régie des alcools, des courses et des jeux afin qu’il soit tranché. Un différend quant à l’attribution du prix peut être soumis à la Régie uniquement aux fins d’une intervention pour tenter de le régler.
31. Divisibilité des paragraphes. Si un paragraphe de ce Règlement est déclaré ou jugé illégal, inexécutable ou nul par une cour compétente, alors ce paragraphe sera considéré comme nul, mais tous les autres paragraphes qui ne sont pas touchés seront appliqués dans les limites permises par la loi.
32. Facebook. Le présent Concours n’est pas associé à, géré ou parrainé par Facebook. Toute information fournie aux fins de l’inscription au Concours est fournie aux Organisateurs du concours et non à Facebook. Toute question, tout commentaire ou toute plainte concernant le Concours doit être soumis aux Organisateurs du concours et non à Facebook. Facebook, ainsi que l’ensemble de ses sociétés affiliées, administrateurs, dirigeants, agents et employés ne sont pas responsables de toute réclamation découlant de, ou en relation avec l’organisation du Concours. Toutefois, en participant au Concours, tout participant s’engage à respecter les conditions et modalités d'utilisation, contrats, autres politiques et/ou lignes directrices régissant la plateforme Facebook et dégage les Bénéficiaires de toute responsabilité pour tout dommage qu’il pourrait subir en raison de l’utilisation de cette plateforme.
33. Langue. En cas de divergence entre la version française et la version anglaise du présent Règlement, dans l’éventualité où une version anglaise est disponible, la version française prévaudra.
34. DROIT DE DÉCIDER, DE MODIFIER, D'ANNULER, DE SUSPENDRE
Le commanditaire se réserve le droit d'annuler, de modifier ou de suspendre le concours, ou de modifier le présent règlement, à tout moment et de quelque manière que ce soit, sans préavis, pour quelque raison que ce soit. Sans limiter ce qui précède, si pour une raison quelconque, le concours ne peut se dérouler comme prévu à l'origine, pour quelque raison que ce soit, le sponsor se réserve le droit d'annuler ou de suspendre le concours. Les décisions du sponsor concernant tous les aspects de ce concours sont finales et contraignantes pour tous les participants sans droit d'appel, y compris, sans limitation, toute décision concernant l'éligibilité/la disqualification des entrées et/ou des participants.
