    Program Terms and Conditions

    • Program Overview: Robert Bosch Tool Corporation ("Bosch") offers this 2025 Standard Rebate Program (the "Program") to eligible dealers ("Dealers") in the United States. The Program provides rebates based on Dealer Qualifying Net Purchases (defined below) made between January 1, 2025 and December 31, 2025 (the "Program Year").
    • Eligibility: Dealers in the United States who make at least $75,000 in Qualifying Net Purchases during the Program Year and agree to these Terms and Conditions are eligible to participate in the Program.
    • Qualifying Net Purchases: "Qualifying Net Purchases" means invoiced shipments of Bosch Tools, Accessories, Measuring Tools, Dremel/RotoZip, and spare parts from Bosch during a specified period, less all billing adjustments, including returns and pricing allowances. Back-ordered purchases will not be counted toward Qualifying Net Purchases.
    • Rebate Calculation: Rebates are calculated based on Qualifying Net Purchases made during the Program Year and are tiered as set forth in the chart above.
    • Guaranteed Volume Rebate: The Guaranteed Volume Rebate percentage is based solely on Qualifying Net Purchases made during the Program Year. The applicable Guaranteed Volume Rebate percentage from the chart is multiplied by the Qualifying Net Purchases made during the Program Year to arrive at the Guaranteed Volume Rebate amount.
    • Growth Rebate: "Growth vs. Prior Year" is determined by calculating the percentage increase (if any) of Qualifying Net Purchases made during the Program Year over Qualifying Net Purchases made during the Prior Year period (January 1, 2024 to December 31, 2024). The applicable Growth Rebate percentage from the chart above is then multiplied by the Qualifying Net Purchases made during the Program Period to arrive at the Growth Rebate amount.
    • Rebate Payment: Rebates will be paid in the form of a credit memo issued within 60 days after the close of the Program Year for Dealers in good standing. "Good Standing" means no outstanding invoices are past due by more than 60 days. Rebate credit memos will be mailed to the Dealer's corporate office address on record. Rebate credits may only be applied toward new orders of eligible Bosch products and have no cash value. Bosch will not issue checks or make cash payments for any earned rebate credit.
    • Rebate Claim Deadline: Rebates must be claimed by December 31st, 2026. Any unclaimed rebates after this date will be forfeited.
    • Modification and Termination: Bosch reserves the right to modify or terminate the Program at any time, with or without prior notice.
    • Governing Law and Dispute Resolution: These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of Michigan, without regard to its conflict of laws principles. Any dispute arising under or relating to these Terms and Conditions shall be resolved exclusively in the state or federal courts located in Michigan.
    • Entire Agreement; Superseding Clause: These Terms and Conditions constitute the entire agreement between Bosch and the Dealer with respect to the Program and supersede any prior communications, representations, or agreements, whether written or oral, relating specifically to this Program. This Program supersedes any prior rebate contract terms and conditions issued by Bosch for Dealer.
    • Acceptance of Terms: To participate in the Program, Dealers must accept these Terms and Conditions by completing the requested information, clicking the "Submit" button and checking the corresponding checkbox online at https://www.boschtools.com/us/en/rebate-program
