ENTRY INTO THIS SWEEPSTAKES CONSTITUTES YOUR ACCEPTANCE OF THESE OFFICIAL RULES. VOID WHERE PROHIBITED BY LAW.
1. Sweepstakes Period: The Camillus® Argo® Giveaway (“Sweepstakes”) begins on January 20, 2015 and ends on December 30, 2015.
2. Sponsors: Acme United Corporation, 55 Walls Drive, Suite 201, Fairfield, CT 06824, and Acme United Canada Ltd., 210 Broadway Avenue, Suite 204, Orangeville, Ontario, Canada, L9W 5G4.
3. Eligibility: Except where prohibited by law, the Sweepstakes is open only to individuals who are, at the time of entry: (a) legal residents of the continental United States and at least 18 years of age or older (but if the individual is a resident of Alabama or Nebraska, then he/she must be 19 years of age or older), or (b) legal residents of Canada (excluding Quebec and the Maritime Provinces, namely Nova Scotia, New Brunswick, and Prince Edward Island) who have reached the age of majority in their province or territory at the time of entry. Employees of the Sponsors, their affiliates, subsidiaries, advertising, promotion and production agencies, including those entities’ respective officers, directors, shareholders, representatives, agents, counsel, successors, and assigns (“Sponsor Affiliates”), as well as employees’ immediate family members and persons living in the same household as an employee, are not eligible to enter. The person named in the application entry will be deemed the official entrant (“Participant”). Only one entry per person is permitted. Questions of eligibility are decided by the Sponsors in their sole discretion. The Sweepstakes is subject to all applicable laws and regulations of the federal, state, provincial, territorial, and local governments of the United States and Canada (except Quebec and the Maritime Provinces). 4. Acknowledgements of Participants: Each Participant acknowledges and agrees: (a) to be bound by these Official Rules; (b) that the decisions of the Sponsors are final on all matters relating to the Sweepstakes; (c) that he/she is eligible to participate; and (d) any Participant who does not comply with the rules will be disqualified.
5. How to Enter: There is no entry fee for the Sweepstakes. Sweepstakes participants may enter only online via the Sponsors’ websites, www.camillusknives.com and www.camillus knives.ca/. Each Participant must provide his/her name, address, telephone number, and e-mail address (“Personal Information”). The Sponsors are not responsible for lost, late, damaged, illegible, garbled, altered, inaccurate, misdirected (whether by human or technical error), undelivered, or delayed entries. No entries may be submitted by mail and any such entries will be considered void. A Participant’s odds of winning the Sweepstakes depends upon the total number of eligible entries received, and for Participants who are Canadian residents, whether they correctly answer the required skill-testing question detailed further below.
6. Privacy Policy: This Sweepstakes is subject to the Sponsors’ respective Privacy Policies, available at www.acmeunited.com/Footer/Privacy+Policy/Privacy+Policy/946 and www.camillusknives.ca/Footer/Privacy+Policy/Privacy+Policy/1986, and is subject to the Sponsors’ respective Terms of Use, available at www.acmeunited.com/Footer/ Terms/Terms/945 and www.camillusknives.ca/Footer/Terms/Terms/1991. The Sponsors reserve the right to2430985.5maintain any Personal Information provided by Participants and all other records relating to the Sweepstakes for at least two years, after which it may be destroyed in a secure manner.
7. Disclosure of Sponsors’ Use of Participant Information: The Sponsors collect the Personal Information submitted by Participants in their Sweepstakes entry and use it to administer the Sweepstakes. All Personal Information will be securely stored by the Sponsors. The Sponsors may also use the information in connection with their own future marketing, advertising, publicity, or other business purposes. However, the Sponsors will not disclose any Personal Information to any third parties, nor will the Sponsors send any commercial electronic messages to any Participant without the Participant’s advance permission. By submitting an entry to the Sweepstakes, all Participants acknowledge and consent to this collection and use of their Personal Information.
8. When to Enter: Entries may be submitted beginning at 12:01 AM Eastern Time (“ET”) on January 20, 2015. To be entered in the Sweepstakes drawing, all entries must be received no later than 11:59 PM ET on December 30, 2015. For purposes of these Official Rules, receipt of an online entry occurs when a Sponsor’s server records the entry information upon the Participant clicking the “Submit Entry” button. Automated computer receipts (such as one confirming delivery of e-mail) do not constitute proof of actual receipt by the Sponsors. No entries will be returned or held in confidence and your entry does not create a confidential relationship or entitle you to a right of privacy between you and the Sponsors, or any of its affiliates, subsidiaries, or agents.
9. Selection of Winners: There will be only one (1) Grand Prize and three (3) Secondary Prizes (collectively the “Prizes”) awarded in the entire Sweepstakes. There will be no regional allocation of prizes in either the United States or Canada. On December 31, 2015, a Winner for each Prize will be selected electronically from all eligible entries in an automated process. If an eligible Participant selected during the automate process is a Canadian resident, before ultimately being declared a Winner of a Prize, that person must correctly answer a mathematical skill-testing question, without assistance and within the time provided (if applicable), which will be conveyed during the Prize Notification. Upon that person’s correct response to the skill-testing question, he or she will become a Winner; if he or she does not correctly answer the skill-testing question as required, he or she will be disqualified and an alternative Winner will be selected through the automated process from the remaining eligible entries. All decisions of the Sponsors are final and binding in all matters relating to the Sweepstakes, including the selection of Winners.
10. Notification: Winners of the Prizes will be notified on or about January 9, 2016 via e-mail or telephone. After the notification, the Winners will promptly be sent a Publicity Release (“Release”), an Affidavit of Eligibility (“Affidavit”), as well as any other documents the Sponsor deems necessary (“Prize Notification Documents”). The Winners must sign, complete, and return to the Sponsor, by postal mail, the Release, Affidavit, and any Prize Notification Documents within two weeks from the date printed on the Notification. Failure to do so will result in the individual being disqualified and an alternative Winner will be selected through the automated process from the remaining eligible entries. Notification of the winning status must be kept confidential until all Winners are announced by Sponsor.
11. Prizes, Average Retail Values, and Responsibilities of Winners for Prize Redemption:
a. ALL PRIZES ARE AWARDED “AS IS” AND WITHOUT ANY WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, (INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE), EXCEPT AS PROVIDED BY THE ORIGINAL2430985.5MANUFACTURER AND ANY OTHER WARRANTIES ARE HEREBY DISCLAIMED.
b. Grand Prize Winner:
i. The Grand Prize Winner will receive one (1) 2015 Fully-Loaded Argo® 8x8 750 HDi amphibious off-road vehicle by Ontario Drive & Gear Limited (“Argo”) having an average retail value (“ARV”) of $27,000 USD ($32,041 CAD) (“Grand Prize”). The Argo will be loaded with front-, left-, and side-body brush guards, gun boot and mount, a powered winch, a cargo box, and Camillus® decals.
ii. The Grand Prize will be delivered to the Argo dealer or distributor nearest to the Winner’s geographic location (the “Argo Dealer”) within 30 days after the Winner is confirmed and finalized by the Sponsor.
iii. Before the Grand Prize leaves the premises of the Argo Dealer, the Argo Dealer will inspect the Grand Prize to ensure that: (1) it did not sustain any damage during prior transport; (2) there is sufficient oil in the transmission and engine; (3) the battery is properly connected; and (4) any accessories are appropriately installed.
iv. The Grand Prize Winner must either: (1) pick up the Grand Prize from the Argo Dealer or (2) arrange for the Grand Prize to be shipped from the Argo Dealer to the Grand Prize Winner’s desired location. Once the Grand Prize leaves the premises of Argo Dealer, the Grand Prize Winner becomes the owner of the Grand Prize and assumes all risks involved in the transportation and is solely liable for any damage the Grand Prize may thereafter sustain; neither the Sponsors nor Argo Dealer are responsible for any losses that may occur during a subsequent transport of the Grand Prize or any other occurrence.
v. The Grand Prize Winner is responsible for completing any application for or registration of the Grand Prize that is required by any applicable law or regulation, including obtaining a permit or license plate to transport and/or operate it, if necessary.
vi. The Grand Prize Winner must register any manufacturer’s warranty on the Argo with the manufacturer.
vii. All references to Canadian ARV herein are furnished at an exchange rate as of January 10, 2015. The Canadian ARV could change at the time of receipt of the prize(s).
c. Three (3) Secondary Winners: The Runner Up Prize Winner will receive a Seven™ folding knife, M12™ Bayonet, Carnivore® X machete, CamLite™ folding knife, EDC3 folding knife, and Camillus® T-Shirt, with a total ARV of $180 USD ($214 CAD). The Second Prize Winner will receive a Sin™ tomahawk, Vortex™ folding knife, Trekus™ Pro multi tool, and Camillus® T-Shirt, with a total ARV of $140 USD ($166 CAD). The Third Prize Winner will receive a Ravenous™ hatchet, Charge™ folding knife, and Camillus® T-Shirt, with a total ARV of $80 USD ($95 CAD). Collectively, the Runner Up Prize, Second Prize, and Third Prize are referred to as “the Secondary Prizes.”
d. Prize Redemption: Each Winner shall solely be responsible for paying any and all taxes, fees, and other charges, including withholding tax or Value Added Tax, associated with winning a Prize that may be required by the laws or regulations of any federal, state, provincial, territorial, or local government of the United States or Canada. Each Prize is non-refundable, non-assignable, non-transferable, and not redeemable for cash. No substitutions are permitted except the Sponsors reserve the right to substitute any Prize (or prize element) with one of equal or greater value in case of unavailability. Any other2430985.5incidental expenses not specified herein are each Winner’s sole responsibility. Winners who are Canadian residents must have correctly answered the mathematical skill-testing question provided during the Prize Notification, without assistance and within the time provided (if applicable), in order to redeem the Prize. Any unclaimed Prize by any Winner will be forfeited and no further drawings for winners will be conducted.
12. Releases by Participants and Winners: Participants accept all the risk and consequences of their entry and participation in this Sweepstakes and agree to release and hold harmless the Sponsors and Sponsor Affiliates from any and all consequences, liability, losses, damages (including without limitation, consequential, punitive, incidental, special, or increased damages, and those related to personal injury, death, or damage to property) and costs and expenses, of any kind, under any legal theory, arising from or related to this Sweepstakes, including but not limited to their entry and participation in the Sweepstakes, the acceptance and/or use (or misuse) of any Prize, printing errors, and any claims based upon the rights of publicity, invasion of privacy, and defamation, even if the Sponsors or a Sponsor Affiliate were aware of the possibility of any such consequences, losses, damages, etc. Without limitation, all Participants agree that the Sponsors and Sponsor Affiliates shall not be liable for any claims, damages, losses, costs, or expenses, of any kind, arising from or related to circumstances beyond their reasonable control, including but not limited to events of nature, acts of government, acts of terror, acts of war, civil unrest, labor shortages and/or strikes, even if the Sponsors or a Sponsor Affiliate were aware of the possibility of any such events occurring. Participants and Winners further agree to release the Sponsors and Sponsor Affiliates from any and all claims that any advertising subsequently produced, presented, and/or prepared by or on behalf of the Sponsors infringes a Participant’s rights with regard to any elements, characters, or ideas contained in any entry.
13. Sponsors’ Rights Toward Winners: Submission of an entry irrevocably grants the Sponsors and Sponsor Affiliates the unconditional and perpetual right and permission to use a Participant’s name, entry, hometown, image, likeness, photograph, and/or statements regarding his/her participation in the Sweepstakes (with or without using the Participant’s name) in any and all media whether now known or hereafter developed, without limitation and without compensation to any Participant. Winning a Prize constitutes permission (except where prohibited by law) for the Sponsors and Sponsor Affiliates to use a Winner’s name, entry, hometown, image, likeness, photograph, and/or statements regarding his/her participation in the Sweepstakes at the Sponsors’ discretion for announcements, future advertising, and/or publicity in any and all media (including online posting) now or hereafter devised throughout the world in perpetuity, without additional compensation, notification, or permission. The Sponsors also reserve the right to conduct a background check on any potential Winner and reserve the right in their sole discretion to disqualify any person based on such background check if the Sponsors determine in their sole discretion that awarding the Prize to such potential Winner might reflect negatively on a Sponsor’s image, goodwill, or brand. In the event it is determined that a Winner has not complied with these Official Rules, or is otherwise disqualified then the Sponsors will select an alternative Winner through its automated system from the remaining eligible entries and notify that individual accordingly.
14. Access to List of Winners: A list of the Winners will be available online at the Sponsors’ websites for 90 days after the Winners are confirmed and finalized. Anyone may request a list of Winners by mailing a self-addressed, stamped envelope to a Sponsor at the address listed herein.
15. General: The Sponsors and Sponsor Affiliates are not responsible for: (a) any electronic transmission errors resulting in omission, interruption, deletion, defect, delay in operations or transmission, theft, alterations, or unauthorized access to entry materials, or (b) any electronic or2430985.5technical errors, malfunctions, or limitations of any kind, including inaccurate transmissions and failure to receive entry information, or (c) injury or damage to a Participant’s or any other person’s computer related to or resulting from downloading, uploading, and/or submitting Sweepstakes materials. If for any reason the Sweepstakes is not capable of running as planned, including for reasons of computer virus, bugs, tampering, unauthorized intervention, fraud, technical failure, or any other cause beyond the control of the Sponsors which corrupt or affect the administration, security, fairness, integrity, or proper conduct of this Sweepstakes, the Sponsors reserve the right to withdraw or cancel the Sweepstakes and to determine the winners from all eligible entries received prior to withdrawal or cancellation. The Sponsors reserve the right to disqualify any Participant it believes has intentionally violated these Official Rules. The Sponsors reserve the right in their sole and unfettered discretion to disqualify any Participant who tampers or is suspected of tampering with the entry or Winner selection process. Any attempt by a Participant to deliberately damage a Sponsor’s entry site or undermine the legitimate operation of the Sweepstakes may be a violation of criminal and civil laws. Should such attempt be made, the Sponsors reserve the right to seek damages and/or other relief from such Participant to the fullest extent of the law.
16. Non-Discrimination: The Sweepstakes is open to all eligible persons regardless of age, race, ethnicity, national origin, gender, sexual orientation, disability, veteran status, marital status, religion, or political beliefs.
17. Applicable Law: All Sweepstakes Participants agree that the Sponsors have the sole right to decide all matters and disputes arising from this Sweepstakes and the Official Rules, and that all decisions of the Sponsors are final and binding. Any matter or dispute with a United States resident arising from this Sweepstakes or these Official Rules is governed by the laws of the State of Connecticut, and by entering, all Sweepstakes Participants agree that all claims or disputes must be resolved exclusively in the federal or state courts of Connecticut. Any matter or dispute with a Canadian resident arising from this Sweepstakes or these Official Rules is governed by the laws of Ontario, and by entering, such Canadian Sweepstakes Participants agree that all claims or disputes must be resolved exclusively in the courts of Ontario.
