NO PURCHASE NECESSARY TO ENTER OR WIN. VOID WHERE PROHIBITED
I. NAME OF SPONSOR & ADMINISTRATOR
“PEAPOD’S NEXT BEST” 2017 CONTEST (the “Contest”) is sponsored by Peapod, LLC, (hereafter referred to as “Sponsor”) in connection with Windy City LIVE and WLS Television, Inc., (hereafter referred to as “Administrator”).
II. ELIGIBILITY
Open only to legal residents of Illinois, Indiana and Wisconsin; 18 years of age or older at time of entry and must reside in one of the following counties: in Illinois - Lake, McHenry, DeKalb, Kane DuPage, Cook, Kendall, Will Grundy, Kankakee, La Salle; in Indiana - Lake, Porter, La Porte, Newton, Jasper; and in Wisconsin - Kenosha, Walworth, Racine.
Any individuals (including but not limited to employees, consultants, independent contractors, and interns) who have, within the past six months, performed services for Windy City LIVE (“Show”), WLS Television, Inc., Peapod, LLC, their parent, subsidiary, and affiliated companies and entities, their advertising/promotional agencies or vendors, any organizations responsible for sponsoring, fulfilling, administering, advertising or promoting the Contest or supplying the prize, and/or their respective parent, subsidiary, affiliated and successor companies, and immediate family and household members of such foregoing individuals, are not eligible to enter or win. "Immediate family members" shall mean parents, step-parents, children, step-children, siblings, stepsiblings, or spouses. "Household members" shall mean people who share the same residence at least three months a year.
Group entries must be composed of eligible individuals who are “co-creators” of single product and subject to the same rules as the individual creator, except for residency requirement.
All previous Entrants, Semi-Finalists and Finalists of the Peapod’s Next Best 2016 Contest must fully comply with these Contest Rules and certify he/she is eligible to enter. Void where prohibited. All federal, state and local laws and regulations apply.
III. HOW AND WHEN TO ENTER
Contest begins on January 30, 2017 at 12:01 am Central Time (CT) and ends on 12:00pm CT March 6, 2017. Entries must be electronically submitted and received by 11:59 pm CT February 13, 2017.
Entrants can use the direct link to enter (http://woobox.com/u79qns) or go to www.WindyCityLIVE.com and click on the Contest graphic. Entrants must complete a registration form with their first and last name, city, state, email address, contact phone number, names and contact numbers for all co-creators of the product (if any), answer a few questions about their product (name, description, etc.), answer questions regarding current and/or prospective distribution deals, submit a photo, confirm product is in compliance with conditions outlined immediately below; or provide date when those conditions will be met.
Entrants must confirm that product(s) comply, or will comply, with the following conditions:
a) Must be fresh or non-perishable beverage or edible grocery item.
b) Must have a UPC code
c) Must follow the city, state and federal regulations for commercial food handling and packaging
d) Must follow labeling requirements of the FDA (including, but not limited to: nutritional label: list of ingredients; lot numbers; product size; allergen declaration; USDA or stamp for meat products, etc.)
e) Must provide Peapod vendor set-up and product set-up documentation
f) Fresh beverages or edible items must have a shelf-life of at least five (5) days
g) Entrant must be the creator of the product, and has all necessary rights: to the product and its packaging; to enter into the Contest and to accept the potential Prize.
Sponsor and/or Administrator will determine if all conditions have been met and decisions of Sponsor and/or Administrator are FINAL.
Additional Semi-Finalist and Finalist entry/participation requirements are described below.
ENTRANTS MAY NOT DROP OFF OR MAIL PRODUCTS TO WINDY CITY LIVE OR PEAPOD AS PART OF THE ENTRY PROCESS. ANY PRODUCTS SHIPPED TO WINDY CITY LIVE OR PEAPOD WILL NOT BE RETURNED AND WILL BE DESTROYED. RECEIPT OR ACKNOWLEDGMENT DOES NOT CONSTITUTE ANY REPRESENTATION AS TO CONTEST ELIGIBILITY AND WILL HAVE NO BEARING ON ENTRANT ADVANCING IN THE CONTEST.
The Administrator’s computer is the time keeper for this Contest.
Limit one (1) entry per product. Individual products under a single brand must be submitted individually.
Sponsor & Administrator are not responsible for mail that is lost, stolen, late, illegible, incomplete, damaged, mutilated, misdirected, altered, tampered with, or postage-due. Sponsor & Administrator are not responsible for failed, partial or garbled computer transmissions, or for technical failures of any kind, including but not limited to electronic malfunction or damage of any network, hardware or software. If for any reason the Contest is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or other causes that corrupt or affect the administration, security, fairness, integrity or proper conduct of the Contest, Administrator reserves the right, in its sole discretion, to disqualify any individual who tampers with the entry process, and/or to cancel, terminate, modify or suspend the Contest. No responsibility is assumed for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, entries; or any problems or technical malfunctions of any telephone network or lines, computer online systems, servers, or providers, computer equipment, software, failure of any e-mail or electronic entry to be received on account of technical problems or traffic congestion on the Internet or at any Web-site, or any combination thereof, including any injury or damage to entrant’s or any other person’s computer related to or resulting from participation in or downloading any materials from this Contest. In the event of a dispute over an electronic entry, prize will be awarded to the owner of the e-mail account, not the name on the entry form. Except as otherwise contemplated by these Rules, and to the extent entrants may otherwise elect at the time of Entry, information provided by you for this Contest is subject to Administrator’s privacy policy located at https://disneyprivacycenter.com/privacy-policy-translations/english (“Privacy Policy”)
IV. JUDGING CRITERIA; APPEARANCE, SELECTION AND NOTIFICATION
Entrant submissions will be reviewed by a panel of judges to be selected by Windy City LIVE. All submissions will be judged based on the following criteria: how the product fills a need or solves a problem; trendiness of product; differentiation from like products; and product appeal. A pool of Semi-Finalists will be selected by the judging panel to continue in the Contest. No more than twenty-five (25) Semi-Finalists will be chosen; less may be chosen depending on number of entries and fulfillment of the judging criteria.
Semi-Finalists will be notified on/about February 15, 2017 by email and/or phone.
Semi-Finalists WILL BE REQUIRED to attend an in-person “pitch session” on/about February 18, 2017 at ABC7 Chicago Studios at 190 N State Street, Chicago, IL 60601 between the hours of 9am and 5pm CT, and need to be prepared to potentially stay during the entire pitch session time frame. Semi-Finalists will be seen on a first-come, first-served basis. Semi-Finalists may arrive no earlier than 8:00am CT.
OVERNIGHT CAMPING OUTSIDE THE STUDIO IS NOT ALLOWED. Semi-Finalists will also be required to complete a Windy City LIVE appearance release.
Semi-Finalists will appear separately and be videotaped before a panel of judges and given two (2) minutes to be present a verbal presentation of their product. Only the Entrant and co-creators listed on the official entry form will be allowed to present to judging panel. Semi-Finalists must also bring no less than seven (7) and no more than ten (10) product samples, in their planned packaging along with a final list of ingredients, with them for tasting, beauty shots and evaluation by the judges. PRODUCT SAMPLES MAY NOT BE SHIPPED TO WLS STUDIOS. Judges will interview Semi-Finalists and score their product individually based on the following criteria: Taste; Packaging; Marketability; Innovation and Product Strategy. Judges will score each criterion on a scale of zero (0) to ten (10) points. The six (6) Semi-Finalists with the highest scores will be deemed Finalists. In the event of a tie for Semi-Finalist, Windy City LIVE’s Executive Producer or his designee will break the tie.
Then, outside of the presence of the Finalists, judges will take the products of the six (6) Finalists and in conference with one another vote to determine which product has the best overall appeal, chance for success and fits best within the Peapod brand. The entrant of that product will be designated the Winner. Should there be a tie among the Finalists, Windy City LIVE’s Executive Producer or his designee shall make the final decision.
Six (6) Finalists will be announced live on the Windy City LIVE broadcast on February 24, 2017. Immediately following the broadcast, Finalists will receive an email from Windy City LIVE with additional details and will be contacted via telephone by a show producer.
During the week of February 27, 2017, the Finalists will be paired up by producers of “Windy City LIVE” and each paired group will be assigned a day to appear on “Windy City LIVE” as follows: Paired Group 1 on/about February, 27, 2017; Paired Group 2 on/about February 28, 2017 ; Paired Group 3 on/about March 1, 2017,. In each Paired Group, one (1) Finalist will be eliminated based on the final rankings determined by the Judges on February 18, 2017 and one (1) Finalist will move on to the Contest finale “Windy City LIVE” broadcast on/about March 6, 2017. All “eliminations,” and the disclosure of such information, will be based on the final rankings determined by the Judges on February 18, 2017 and will not be impacted by the appearances made after that date. Paired group assignments (partners and dates) will be made at the sole discretion of producers of “Windy City LIVE”.
The three (3) remaining Finalists WILL BE REQUIRED to appear on the “Windy City LIVE” broadcast on/about March 6, 2017 between the hours of 10:00am and 2:00pm CT. All details of appearance will be at the sole discretion of the show. Winner will be announced LIVE on the “Windy City LIVE” broadcast.
IF SELECTED AS PRIZE WINNER, ENTRANT MUST BE IN COMPLIANCE WITH ALL PRODUCT CONDITIONS WITHIN THIRTY (30) DAYS OF SELECTION AS PRIZE WINNER. FAILURE TO BE IN SUCH COMPLIANCE WILL RESULT IN DISQUALIFICATION, EVEN IF SUCH DISQUALIFICATION IS NOT ANNOUNCED DURING THE CONTEST.
ALL DECISIONS OF JUDGES ARE FINAL AND BINDING. Odds of winning any prize are subject to the number of eligible entries received.
In the event Semi-Finalists and/or Finalists are deemed ineligible, fail to comply with contest procedures, or are not available to attend the competition as specified, they will be eliminated. In the event a Finalist is eliminated, time permitting, the next highest scoring Semi-Finalist, may be selected to participate.
In the event the Prize Winner is deemed ineligible,
fails to comply with contest procedures, or is unable to claim prize as
specified, the prize will be awarded to a runner-up, as selected by Windy City
LIVE’s Executive Producer or his designee.
Final determination of winners is always conditional on verification of eligibility and compliance with all rules and procedures by sole discretion of Sponsor.
V. PRIZE
The Prize Winner will receive the opportunity to enter into one (1) distribution deal from Peapod, LLC. That distribution deal will consist of: Stocking the product for one (1) year, making it available on its website for purchase, stocking inventory in the Lake Zurich, IL warehouse, making the product available to over 100,000 households in the Peapod service areas in Chicago and suburbs, Indianapolis, Indiana and Milwaukee, Wisconsin (alcoholic beverages excluded from Indianapolis and Milwaukee). Peapod, LLC agrees to promote the product once per quarter with a highlighted presence on its Website, via email, presence on in-tote flyer, social media, and/or discounted price. Peapod will also publicize the Winner and product via Press Release. All financial terms of the distribution deal are to be negotiated between Winner and Peapod, LLC.
Winner has no obligation to enter into the distribution deal or accept any/all elements of the Prize. Winner is not entitled to exchange or transfer prize or to obtain cash or other substitutes, but Sponsor in its sole discretion may substitute prizes of equal or greater value.
Sponsor and/or Administrator is not responsible for cancellation or preemption of show or for other circumstances that make it impractical or impossible to fulfill any element of the prize. This prize cannot be purchased and, therefore, has no actual retail value.
All expenses not specifically provided for herein are the winner’s sole responsibility. Some restrictions may apply. Federal, state and local taxes, if any, are the sole responsibility of the winner, based on the final deal, if/as entered into with Sponsor.
VI. RELEASES
By entering this contest, participants agree to be bound by these Official Rules and the decisions of the Sponsor and the Administrator, which shall be final in all matters relating to this contest. By participating in this Contest and/or accepting any prize that they may win, entrants agree to release WLS Television, Inc., and Peapod, LLC, their parent, subsidiary, affiliated and successor companies, advertising and promotion agencies and prize suppliers, and each of their respective officers, directors, agents, representatives and employees, as well as each of their respective successors, representatives and assigns (collectively, the “Released Parties”) from any and all actions, claims, injury, loss or damage arising in any manner, directly or indirectly, from participation in this Contest and/or acceptance or use of the prize, including but not limited to claims regarding: intellectual property; implied contract; theft of ideas; trade secrets; violation of contract(s); and/or injuries allegedly caused by product.
Entrants authorize the Released Parties to use their name, voice, photograph, likeness, prize information, biographical data, city and state of residence and entry materials worldwide in perpetuity for programming, publicity, advertising and promotional material, in any and all media, now existing or hereinafter created or conceived, without further compensation, notification or permission, unless prohibited by law. Sponsor and/or Administrator is not obligated to use any of the above mentioned information or materials, but may do so and may edit such information or materials, at Sponsor’s and/or Administrator’s sole discretion, without further obligation or compensation.
Any attempt to deliberately damage any Web site or undermine the legitimate operations of this contest may be a violation of criminal and civil laws, and should such an attempt be made, Administrator, or its designated representative, reserves the right to seek damages from any person associated with such actions to the fullest extent permitted by law. Administrator, or its designated representative, reserves the right to cancel, modify or suspend the contest if it should become compromised in any way or if it becomes technically corrupted.
To claim Prize, winner must: (a) provide proof of age, identity and residency, as well as documentation of compliance with all Contest requirements upon request; and (b) sign and return affidavit of eligibility/compliance with rules, publicity/liability release and indemnification.
Neither Sponsor nor the Released Parties will have any liability whatsoever for any injuries, losses or damages of any kind, including but not limited to personal injury or death, caused by any prize or resulting from acceptance, possession, use and/or misuse of any prize or participation in prize-related activities.
Winner acknowledges that neither Sponsor nor its agents have made nor are in any manner responsible or liable for any warranty, representation or guarantee, express or implied, in fact or in law, relative to any prize, including but not limited to its quality, mechanical condition or fitness for a particular purpose. Any and all warranties and/or guarantees on a prize, if any, are subject to the manufacturer’s terms therefore and winner agrees to look solely to such manufacturers for any such warranty and/or guarantee.
VII. MISCELLANEOUS; WINNERS’ LIST
Administrator reserves the right, in its sole discretion, to disqualify any individual who tampers with the entry process and to cancel, terminate, modify and/or suspend the Contest in the event of tampering or other circumstances, including but not limited to acts of God or civil disturbance that render it impractical or impossible to complete or fulfill the contest as originally planned.

Additionally, the name of the prize winner will be posted on the WindyCityLIVE.com website and on Windy City LIVE’s Facebook page (http://facebook.com/windycitylive).
