These Official Rules apply for “RYAN’S WORLD GAME ON GIVEAWAY” (“Sweepstakes”) conducted by PocketWatch, Inc. 8500 Steller Drive, Building #7, Culver City, CA 90232 (“Sponsor”) and promoted at https://ryansworldshop.com\gameon (“Website”). The Sweepstakes will start at 9:00:00 AM Pacific Daylight Savings Time (“PDT”) on August 1, 2022 and will end at 11:59:59 PM PDT on August 28, 2022 (“Sweepstakes Period”). By entering this Sweepstakes, you agree to the Terms in these Official Rules.

SWEEPSTAKES ENTRANTS AND PRIZE RECIPIENTS MUST BE (A) LEGAL RESIDENTS OF THE FIFTY (50) UNITED STATES AND THE DISTRICT OF COLUMBIA, AND (B) AT LEAST 18 YEARS OF AGE AT THE TIME OF ENTRY. VOID OUTSIDE THE UNITED STATES, DISTRICT OF COLUMBIA AND WHERE PROHIBITED BY LAW. SWEEPSTAKES SUBJECT TO ALL APPLICABLE FEDERAL, STATE AND LOCAL LAWS AND REGULATIONS. Officers, directors and employees of Sponsor and its respective parent companies, subsidiaries, affiliates, divisions, advertising and promotion, fulfillment and/or judging agencies (all such individuals and entities collectively referred to herein as, the “Related Entities”), and their immediate family members (mother, father, brothers, sisters, sons, daughters, spouse, step-parents, step-children and step-siblings regardless of where they reside) and/or those living in the same household of any such individual, whether or not related, are not eligible to enter this Sweepstakes or win a prize.

During the Sweepstakes Period, there will be four (4) weekly entry periods (each a “Weekly Entry Period”). Each Weekly Entry Period will take place on the following designated dates:

Weekly Entry Period #1: Begins at 9:00 AM PDT on August 1, 2022 and ends at 11:59:59 PM PDT on August 7, 2022;

Weekly Entry Period #2: Begins at 12:00 AM PDT on August 8, 2022 and ends at 11:59:59 PM PDT on August 14, 2022;

Weekly Entry Period #3: Begins at 12:00 AM PDT on August 15, 2022 and ends at 11:59:59 PM PDT on August 21, 2022; and

Weekly Entry Period #4: Begins at 12:00 AM PDT on August 22, 2022 and ends at 11:59:59 PM PDT on August 28, 2022.

Entries received during previous Weekly Entry Periods will not be eligible for subsequent corresponding Weekly Entry Period Random Drawings, however all Entries received during each Weekly Entry Period will be eligible for the Grand Prize Random Drawing.

HOW TO ENTER: During the Sweepstakes Period, (i) go to the Website (https://ryansworldshop.com\gameon)and (ii) complete the Online Entry Form as directed by submitting your First name and last initial, a valid e-mail address and your zip code, designated Weekly Entry Period (i and ii, individually defined as an “Entry” and collectively defined as “Entries”). By submitting an Entry, each entrant consents to receive from the Sponsor an e-mail notifying such entrant that he/she is a potential Prize Winner. Each entrant is limited to one (1) Entry per e-mail address per Weekly Entry Period for a total maximum of up to four (4) Entries during the Sweepstakes Period. Duplicate Entries or multiple Entries made by an entrant in excess of the number allowed will be disqualified.

Your Entry constitutes your consent to participate in this Sweepstakes and your consent for Sponsor to obtain and deliver your name, address and other information to the Sweepstakes Administrator for the purpose of administering this Sweepstakes.All Entries become the property of the Sponsor upon submission and will not be acknowledged or returned and the Sponsor has the right to dispose of the Entries at Sponsor’s discretion.

BY ENTERING THIS SWEEPSTAKES AND SUBMITTING AN ENTRY, YOUR ENTRY MATERIALS, AS DEFINED HEREIN, MAY BE INCLUDED IN SPONSOR’S COMMERCIAL MATERIAL, AS WELL AS AT SPONSOR’S WEBSITE OR SOCIAL MEDIA PLATFORMS, INCLUDING BUT NOT LIMITED TO INSTAGRAM AND FACEBOOK.

Use of a mobile device to participate in this Sweepstakes is not required. If you use a mobile device to enter via the Website, message and data rates may apply, and entrants will be solely responsible for any and all applicable charges. Please consult your wireless-service provider regarding its pricing plans. By submitting an Entry, each entrant agrees to abide by the terms of these Official Rules, the decisions of the Sponsor and Related Entities, the Sponsor’s Privacy Policy available at https://ryansworldshop.com/pages/privacy-policy.

FOUR (4) WEEKLY RANDOM DRAWINGS/WINNER SELECTION: One (1) Random Drawing will be conducted from among all Entries received during each Weekly Entry Period for a total of four (4) Weekly Random Drawings. One (1) winner will be selected in each Weekly Random Drawing for a total of four (4) Weekly Winners. The Weekly Random Drawings will take place on or about the following dates stated below:

Weekly Entry Period #1 Random Drawing: August 8, 2022;

Weekly Entry Period #2 Random Drawing: August 15, 2022;

Weekly Entry Period #3 Random Drawing: August 22, 2022; and

Weekly Entry Period #4 Random Drawing: August 29, 2022.

ONE (1) GRAND PRIZE RANDOM DRAWING/WINNER SELECTION: All entries received from among all four (4) Entry Periods will be combined and one (1) Grand Prize Winner will be selected. The Grand Prize Random Drawing will be conducted on or about August 29, 2022.

ALL RANDOM DRAWINGS/WINNER SELECTIONS: Odds of winning a prize will depend upon the number of eligible Entries received. All Random Drawings will be conducted by PCG365, LLC, (“Sweepstakes Administrator”) whose decisions regarding the selection of winners are final and binding. In the event an insufficient number of eligible Entries are received during a designated Weekly Entry Period (as determined by the Sponsor in its sole discretion), the Weekly Prize eligible for that corresponding Weekly Entry Period Random Drawing may not be awarded in this Sweepstakes.

FIVE (5) PRIZES AND THEIR APPROXIMATE RETAIL VALUES (“ARV”): ONE (1) GRAND PRIZE: One (1) Grand Prize Winner will receive one (1) five hundred dollar ($500) one-time Promo Code redeemable at Ryan’s World Shop (https://ryansworldshop.com) plus the opportunity for the Grand Prize Winner’s name, and photograph to appear in a “Shout Out” during a designated Ryan and Friends Blokz Party episode scheduled to air on September 12, 2022. ARV of Grand Prize: $500; and FOUR (4) WEEKLY PRIZES: Weekly Prize #1: The Winner selected in the Weekly Entry Period #1 Random Drawing will receive one (1) Ryan’s World Titan Universe package consisting of the following items each designated by Sponsor: one (1) Micro Mecha set; one (1) Mega Mecha set; and one (1) Mighty Egg set. ARV of Weekly Prize #1: $149.97; Weekly Prize #2: The winner selected in the Weekly Entry Period #2 Random Drawing will receive one (1) Ryan’s World Game On package consisting of the following items each designated by Sponsor: one (1) Digital download of Ryan’s Rescue Squad Console Game; one (1) Claw Machine set; one (1) Mystery Wheel set; and one (1) set of Walkie Talkies. ARV of Weekly Prize #2: $144.96; Weekly Prize #3: The Winner selected in the Weekly Entry Period #3 Random Drawing will receive one (1) Ryan’s World EK World package consisting of the following items each designated by Sponsor: one (1) BFF Egg set; one (1) Confetti Egg set; one (1) Cutie Pop set; and one (1) Accutime Watch. ARV of Weekly Prize #3: $99.96; and Weekly Prize #4: The Winner selected in the Weekly Entry Period #4 Random Drawing will receive one (1) Ryan’s World Super Spy package consisting of the following items each designated by Sponsor: one (1) Mission Case; one (1) Spy Egg set; one (1) Belt; and one (1) Spy Vault set. ARV of Weekly Prize #4: $167.96. TOTAL ARV OF ALL PRIZES AWARDED: $1,062.85. Grand Prize Promo Code is a one-time code, must be used only once and the full five hundred dollars ($500) must be redeemed at the same time or Grand Prize Winner forfeits the remaining funds not used on the Promo Code. Promo Code subject to terms and conditions thereon. Sponsor not responsible for lost or stolen Promo Code. In the event, for whatever reason, the designated Ryan and Friends Blokz Party episode does not get produced, gets produced but does not air, or is cancelled, that portion of the Grand Prize will not be provided and no additional compensation will be provided in lieu of that cancelled portion of the Grand Prize. Any difference between the stated ARV of any Prize and the actual value of that Prize will not be awarded. No cash substitution, assignment, or transfer of any Prize permitted. In the event a Prize item is unavailable, Sponsor reserves the right to substitute a Prize of equal or greater value. By entering this Sweepstakes, all entrants agree to release, hold harmless and indemnify the Sponsor, the Sweepstakes Administrator and the Related Entities and each of their respective shareholders, directors, officers, employees or representatives from and against any and all liability whatsoever for any injuries, losses, harm, damage (including but not limited to property damage, personal injury and/or death), claims, actions, costs and expenses (including without limitation, all attorneys’ fees and court costs) arising directly or indirectly from or in connection with any Prize or resulting from participation in this Sweepstakes or from acceptance, possession or use/misuse of any Prize or participation in any Prize-related activity or use by Sponsor of the Entry in any manner. Sponsor does not make, nor in any manner is responsible or liable for any warranty, representation or guarantee, express or implied, in fact or in law, relative to any Prize including but not limited to its quality, fitness for purpose or mechanical condition. Prizes are subject to the Sweepstakes and all applicable federal, state and local laws. Limit one (1) Prize per household.

CLAIMING PRIZE/RELEASE: Eligibility, age and claims made by a potential Prize Winner are subject to verification. Grand Prize Winner must return a completed Prize Verification Form and one (1) digital photograph of his/her child within two (2) days from notification, or the Grand Prize Winner will be disqualified and the Grand Prize will be awarded to an alternate Grand Prize Winner in a random drawing from among all remaining Entries received. Each Weekly Prize Winner will be required to complete, sign and return to Sweepstakes Administrator a Prize Verification Form and (where imposing such condition is legal) a publicity release, within two (2) business days of notification. Sponsor or Sweepstakes Administrator are not obligated to leave voice mail, answering machine or e-mail message. If a potential Prize Winner notification or Prize is returned as undeliverable, the potential Prize Winner is ineligible, or the potential Prize Winner declines a prize, that Prize Winner will be disqualified and that Prize will be awarded in a random drawing from among all remaining eligible Entries received. Sponsor and Sweepstakes Administrator are not responsible for fraudulent calls or e-mails to entrants that were not made by the Sponsor or Sweepstakes Administrator.

INTERNET: If for any reason this Sweepstakes is not capable of running as planned due to an infection by a computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of the Sponsor or the Related Entities which corrupt or affect the administration, security, fairness, integrity, or proper conduct of this Sweepstakes, the Sponsor reserves the right at its sole discretion, to disqualify any individual who tampers with the Entry process, to cancel, terminate, modify or suspend the Sweepstakes. Neither the Sponsor nor the Related Entities assume any responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, Entries. Neither the Sponsor nor the Related Entities are responsible for any problems or technical malfunctions of any telephone network or telephone lines, computer on-line systems, servers, or providers, computer equipment, software, failure of any e-mail or Entry to be received by the Sponsor or the Related Entities due to technical problems, human error or traffic congestion on the Internet or at any website, or any combination thereof, including any injury or damage to entrant’s or any other person’s computer relating to or resulting from participating in this Sweepstakes. NEITHER SPONSOR NOR THE RELATED ENTITIES ARE RESPONSIBLE FOR INCOMPATIBILITY OF ENTRANT’S HARDWARE, SOFTWARE OR BROWSER TECHNOLOGY WITH SPONSOR’S OR THE RELATED ENTITIES’ HARDWARE, SOFTWARE OR BROWSER TECHNOLOGY. CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, THE SPONSOR OR RELATED ENTITIES THAT ARE AFFECTED RESERVES THE RIGHT TO SEEK DAMAGES OR OTHER REMEDIES TO THE FULLEST EXTENT PERMITTED BY LAW FROM ANY SUCH PERSON(S) RESPONSIBLE FOR THE ATTEMPT. In the event of a dispute as to the identity or eligibility of a Prize Winner based on a Social Media Platform handle or e-mail address, the winning Entry will be declared made by the “Authorized Account Holder” of the e-mail address associated with the Social Media Platform handle at time of Entry or the e-mail address submitted at the time of Entry. An “Authorized Account Holder” is defined as the natural person 18 years of age or older who is assigned to an e-mail address by an Internet access provider, on-line service provider, or other organization (e.g., business, education institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. Sponsor may ask any entrant or the potential Prize Winner to provide Sponsor with proof that such person is the authorized account holder of the e-mail address associated with the Entry.

GENERAL: By entering this Sweepstakes, entrants and Winners: (1) agree to be bound by these Official Rules; (2) agree to release Sponsor and the Related Entities from any and all liability for any loss, harm, damages, costs or expenses, including without limitation property damages, personal injury and/or death, due in whole or in part, directly or indirectly, to participation in this Sweepstakes or any Sweepstakes-related activity, or the acceptance, possession, use or misuse of any Prize and claims based on publicity rights, defamation or invasion of privacy and/or merchandise delivery; and (3) consent to the use of his/her name, voice, picture, and likeness for advertising and Sweepstakes purposes (where permitted) in any medium throughout the world, whether now known or hereafter devised, in perpetuity without additional compensation unless prohibited by law. Sponsor, at its sole discretion, may discontinue this Sweepstakes at any time. Sponsor, at its sole discretion may terminate the Sweepstakes or decide to modify the Sweepstakes in any manner that it deems fair and equitable to entrants if it becomes aware of any occurrence that would materially affect the Sweepstakes’ security and fairness. Sponsor, at its sole discretion may prohibit individuals from participating in the Sweepstakes and disqualify Entries if they: (1) attempt to enter the Sweepstakes through any means other than as described in these Official Rules; (2) attempt to disrupt the Sweepstakes or circumvent the terms and conditions of these Official Rules in any way; or (3) repeatedly show a disregard for the Sweepstakes Official Rules or act (a) in an unsportsmanlike manner, or (b) with an intent to annoy, abuse, threaten or harass any other entrant, Sponsor, or the Related Entities. Sponsor’s decisions with respect to the Sweepstakes are final.

LIABILITY & RELEASE: By participating in this Sweepstakes, entrants agree to release and hold harmless Sponsor, the Sweepstakes Administrator and the Related Entities from and against any claim or cause of action arising out of participation in the Sweepstakes or receipt or use of any Prize hereunder, including, but not limited to: (a) unauthorized human intervention in the Sweepstakes; (b) technical errors related to computers, servers, providers, or telephone or network lines; (c) printing errors; (d) errors in the administration of the Sweepstakes or the processing of Entries or Claims; or (e) injury or death to a person(s) or damage to property which may be result, directly or indirectly, in whole or in part, from entrant’s participation in the Sweepstakes or entrants’ receipt, acceptance, use and/or enjoyment of any Prize. In no event shall Sponsor, Sweepstakes Administrator or the Related Entities be liable for attorney’s fees. Each entrant waives the right to claim any damages whatsoever, including, but not limited to, punitive, consequential, direct, or indirect damages. Sponsor, Sweepstakes Administrator and the Related Entities reserve the right to correct typographic, clerical or printing errors in any Sweepstakes materials. Sponsor, Sweepstakes Administrator and the Related Entities are not responsible for any typographical or other error in the printing of this Sweepstakes, the administration of the Sweepstakes or in the announcement of any Winner, including such error as may give an erroneous indication that a Prize has been won. In the event the Sponsor, Sweepstakes Administrator or the Related Entities are prevented from continuing with this Sweepstakes, or the integrity and/or feasibility of the Sweepstakes is undermined by any event including but not limited to fire, flood, epidemic, pandemic, earthquake, explosion, labor dispute, or strike, act of God or public enemy, satellite or equipment failure, riot or civil disturbance, war (declared or undeclared), terrorist threat or activity, or any federal, state, or local government law, order of regulation, order of any court or jurisdiction, or other cause not reasonably within the Sponsor’s, Sweepstakes Administrator’s or the Related Entities’ control (each a “Force Majeure” event) the Sponsor, Sweepstakes Administrator and the Related Entities shall have the right, in their sole discretion, to abbreviate, modify, suspend, cancel or terminate the Sweepstakes without notice or further obligation. If the Sponsor, Sweepstakes Administrator or the Related Entities, in their discretion, elect to abbreviate, cancel or terminate the Sweepstakes as a result of a Force Majeure event, the Sponsor, Sweepstakes Administrator and the Related Entities reserve the right, but shall have no obligation, to award the Weekly Prizes and Grand Prize from among all valid and eligible Entries received up to the time of such Force Majeure event.

USE OF INFORMATION: The information that you provide in connection with the Sweepstakes may be used for Sponsor's internal purposes and to send you information about Sponsor’s products and special promotions but will not be provided to other third parties, except as necessary for the administration of the Sweepstakes or as required by law or legal process. Entrants grant the Sponsor and the Related Entities’ permission to post Winners’ names on Sponsor’s commercial material, Sponsor’s websites, the Website or any of its social media platforms and to use Winners’ names, hometown and/or likenesses for purposes of advertising without further compensation unless prohibited by law. If you do not wish to receive information from Sponsor in the future, please make sure to uncheck the appropriate box on the Sweepstakes Entry Form. Sponsor uses commercially reasonable efforts to comply with CAN-SPAM and you may opt out of any commercial e-mail message by following the instructions contained in the communication.
