I. Eligibility

The Kristy Cadwallader Partner Giveaway (the "Sweepstakes" or "Promotion") is open only to legal residents of the

fifty (50) United States and the District of Columbia who are eighteen (18) years of age or older at the time of

entry. Employees, officers, directors, representatives, and agents of the Sponsor, Administrator, participating prize

contributors, and their respective parents, subsidiaries, affiliates, advertising and promotion agencies, and

members of their immediate families or households are not eligible. Immediate family includes a spouse, parents,

grandparents, children, grandchildren, siblings, and each of their respective spouses. Household members include

people who share the same residence for at least three months in a year, whether related or not. The Sweepstakes

is subject to applicable federal, state, and local laws and regulations and is void where prohibited.

II. Sponsor and Participating Prize Contributors

Sponsor: Sea Bags, LLC, 25 Custom House Wharf, Portland, Maine 04101 ("Sponsor"). Participating prize

contributors are Jack Rogers USA, LLC ("Jack Rogers"), Sail to Sable, Inc. ("Sail to Sable"), and Hey Gray Lady

(collectively with Sponsor, the "Promotion Entities").

III. Administrator

Kristy Cadwallader, through the official Instagram account @kristynewengland ("Administrator"), will publish the

official giveaway Reel, assist with eligibility review, conduct the random drawing, and notify the potential winner.

Sea Bags will host this landing page and entry form and may assist with entry administration and prize fulfillment.

IV. Entry Period

The Sweepstakes begins August 17, 2026, at 6:00 AM Eastern Time and ends August 23, 2026, at 11:59 PM Eastern

Time (the "Entry Period"). Sponsor's servers are the official time-keeping device for landing-page entries. All

required online entry steps must be completed during the Entry Period.

V. How to Enter

During the Entry Period, complete and submit the entry form on this Sea Bags landing page with your full name,

valid email address, and Instagram handle. A mobile telephone number may be provided voluntarily if you wish to

make a separate SMS marketing choice.

To complete one online entry, an eligible participant must also: (a) follow @kristynewengland; (b) follow

@jackrogersusa, @sailtosable, @seabagsmaine, and @heygraylady; and (c) leave one comment on the original

giveaway Reel posted by @kristynewengland answering, "What's one thing still on your summer bucket list?"

Instagram engagement without a submitted landing-page form does not constitute an entry. Entries submitted

through partner posts, reposts, or direct messages will not be accepted.

Limit one (1) entry per person and Instagram account. The potential winner must still follow all required accounts

when eligibility is verified. Liking or sharing the Reel is optional and will not provide an additional entry or improve

the odds of winning. Participants must not inaccurately tag themselves or another person in content in which that

person does not appear.

The landing page presents separate, optional choices to receive marketing emails and SMS messages. Agreeing to

receive marketing communications is not required to enter, does not create an additional entry, and will not

increase a participant's chances of winning. Participants may enter without selecting any marketing option.

By entering, each participant agrees to these Official Rules and to the Sponsor's and Administrator's decisions,

which are final and binding regarding the Sweepstakes. Incomplete, late, inaccurate, automated, duplicated, or

otherwise noncompliant entries are void. In a dispute concerning an entrant's identity, the authorized account

holder of the email address used on the entry form will be deemed the participant, subject to verification of the

associated Instagram account.

VI. Prize Drawing and Winner Notification

On or about August 24, 2026, Administrator will select one (1) potential Grand Prize Winner at random from all

eligible entries received. Odds depend on the number of eligible entries received. The potential winner will be

contacted initially only by direct message from @kristynewengland and may also receive an administrative email

from Sea Bags after responding. The winner will never be asked to pay money, provide credit-card information, or

provide banking information to claim the prize.

The potential winner must respond within forty-eight (48) hours and may be required to complete and return an

affidavit of eligibility and liability/publicity release and provide proof of age, residency, identity, account

ownership, and completion of all entry steps. If the potential winner cannot be contacted, does not respond within

the stated period, is ineligible, fails to return required documentation, declines the prize, or otherwise does not

comply with these Official Rules, the potential winner will be disqualified and an alternate may be selected at

random. Up to three (3) alternate drawings may be held, time permitting, after which the prize may remain

unawarded.

The winner will receive the styles shown in the official giveaway creative. Sizes for the footwear and sweater are

subject to availability. No alternate colors, styles, or designs may be selected unless approved by the applicable

prize contributor. Prizes cannot be redeemed for cash, are non-transferable, and may not be substituted except at

Sponsor's discretion. Sponsor or the applicable prize contributor may substitute a prize of equal or greater value if

an advertised item becomes unavailable. The winner is responsible for all federal, state, and local taxes and any

other costs not expressly included. Prizes are awarded "as is" without warranty or guarantee, express or implied.

Prize fulfillment is expected within ten (10) weeks after winner verification.

VIII. Odds of Winning

The odds of winning depend on the number of eligible entries received during the Entry Period.

IX. Sponsored Relationship, Publicity, and Conditions

Administrator is working with the participating brands on this sponsored giveaway. The promotional Reel and

accompanying caption will identify the sponsored relationship clearly. Brand tags and any platform-provided paid-

partnership label supplement, but do not replace, a clear sponsored-giveaway disclosure.

By participating, entrants agree to release and hold harmless the Promotion Entities, Administrator, Meta

Platforms, Inc., Instagram, Facebook, and each of their respective parents, subsidiaries, affiliates, officers,

directors, employees, representatives, and agents (collectively, the "Released Parties") from claims, losses,

liabilities, damages, or causes of action arising from participation in the Sweepstakes or the acceptance,

possession, use, or misuse of the prize, except where prohibited by law.

Except where prohibited by law, acceptance of the prize constitutes permission for Sponsor, Administrator, and

the participating prize contributors to use the winner's name, city and state, image, likeness, voice, biographical

information, and prize information for advertising, publicity, and promotional purposes in any media without

additional compensation, notice, review, or approval.

X. Marketing Opt-In and Privacy

Sponsor and Administrator may collect and use each participant's name, email address, Instagram handle, optional

mobile number, and other information reasonably necessary to administer the Sweepstakes, verify eligibility,

contact and confirm the winner, prevent fraud, and fulfill the prize.

Participants may separately and voluntarily opt in to receive marketing emails and/or SMS messages from Sea

Bags, Sail to Sable, and Hey Gray Lady. Email and SMS choices are separate from the entry submission and are not

required to enter or win. If a participant provides marketing consent, the applicable contact information and

consent record may be securely provided only to the brand or brands identified in that consent for independent

marketing by those brands. Each brand sends communications under its own privacy policy and terms. Email

recipients may unsubscribe using the link in an email. SMS recipients may revoke consent at any time, including by

replying STOP to a message, and message and data rates may apply.

Jack Rogers is a prize contributor only and is not included in the email or SMS marketing choices. Jack Rogers will

not receive entrant email addresses or mobile numbers for marketing. If needed, the verified winner's shipping

and sizing information may be shared with Jack Rogers solely to fulfill its prize contribution.

Information collected through this landing page will be handled in accordance with the Sea Bags Privacy Policy.

Information voluntarily shared with a marketing brand after consent will also be subject to that brand's applicable

XI. Entry Errors, Technical Issues, and Tampering

Released Parties are not responsible for lost, late, incomplete, inaccurate, misdirected, corrupted, garbled, or

undeliverable entries or communications; technical, network, hardware, software, platform, or telephone failures;

unauthorized human intervention; or events beyond their reasonable control that affect the administration,

security, fairness, integrity, or proper conduct of the Sweepstakes. If the Sweepstakes cannot be conducted as

planned, Sponsor may cancel, suspend, modify, or terminate it and, if feasible, select a winner at random from

eligible, non-suspect entries received before the action was taken.

Sponsor may disqualify any person who tampers with the entry process, attempts to obtain multiple entries,

provides false information, interferes with the operation of the Sweepstakes, or acts in violation of these Official

Rules. Any attempt to deliberately damage a website or undermine the legitimate operation of the Sweepstakes

may violate criminal and civil laws, and Sponsor reserves the right to seek damages and other remedies to the

fullest extent permitted by law.

XII. Limitation of Liability

To the fullest extent permitted by law, any claims, judgments, and awards arising from or relating to the

Sweepstakes are limited to actual out-of-pocket costs incurred in entering the Sweepstakes. In no event will

entrants be entitled to attorneys' fees or to punitive, incidental, special, indirect, or consequential damages, and

entrants waive any right to have damages multiplied or increased.

XIII. Dispute Resolution and Governing Law

Except where prohibited, each participant agrees that disputes, claims, and causes of action arising out of or

connected with the Sweepstakes or any prize will be resolved individually, without resort to any form of class

action, exclusively in the state or federal courts located in Maine. All issues concerning the construction, validity,

interpretation, and enforceability of these Official Rules and the rights and obligations of participants and Sponsor

will be governed by the laws of the State of Maine, without regard to conflict-of-law principles.

XIV. Winner List

For the name of the verified winner, send a self-addressed, stamped envelope received no later than September

XV. Miscellaneous

The invalidity or unenforceability of any provision of these Official Rules will not affect the validity or enforceability

of any other provision. If a provision is determined to be invalid, unenforceable, or illegal, the remaining provisions

will continue in effect and will be construed as if the invalid provision were not included. Sponsor's failure to

enforce a provision does not constitute a waiver. If there is a conflict between these Official Rules and any

advertising, promotional copy, website terms, or social media content concerning the Sweepstakes, these Official

Rules control.

XVI. Jack Rogers, Facebook, and Instagram Disclaimer

This Promotion is not sponsored by Jack Rogers, Instagram, or Facebook, nor is it endorsed, administered by, or

associated with Instagram or Facebook. By entering, each participant completely releases Jack Rogers, Instagram,

and Facebook from responsibility, claims, liabilities, damages, losses, costs, and expenses arising out of or relating

to the Promotion. Participants understand that they are providing information to Sea Bags and Administrator and,

only if they separately provide optional marketing consent, to Sea Bags, Sail to Sable, and/or Hey Gray Lady - not to

Jack Rogers, Instagram, or Facebook.

Facebook and Instagram are used to promote and help verify the Sweepstakes. Questions, comments, or

complaints about the Promotion must be directed to Sponsor or Administrator and not to Jack Rogers, Facebook,
