Official Rules (the “Official Rules”)

BY SUBMITTING AN ENTRY TO THE SWEEPSTAKES, YOU AGREE TO THESE OFFICIAL RULES AS AN ENTRANT TO THE SWEEPSTAKES. THESE OFFICIAL RULES ARE A CONTRACT, SO READ THEM CAREFULLY BEFORE ENTERING. WITHOUT LIMITATION, THIS CONTRACT INCLUDES INDEMNITIES TO THE SPONSORING PARTIES FROM YOU AND A LIMITATION OF YOUR RIGHTS AND REMEDIES.

ODDS OF WINNING WILL ONLY BE ELIGIBLE FROM ONE ENTRY RECEIVED. VOID WHERE PROHIBITED BY LAW. AFFIDAVIT OF ELIGIBILITY/RELEASE OF LIABILITY/PRIZE ACCEPTANCE AGREEMENT MAY BE REQUIRED.

The “Milwaukee® TOOLS OF THE CENTURY” (“Sweepstakes”) starts at 12:00 AM Eastern Time (“EST”) on Tuesday, October 8th, 2024 and ends on Tuesday, December 31, 2024  (“Sweepstakes Period”). The sponsor of this Sweepstakes is Techtronic Industries Canada, Inc. – Techtronic Industries Inc. (“Sponsor”). The Sweepstakes shall be subject to these Official Rules, and by entering the Sweepstakes, Entrant agrees to be bound by the terms and conditions herein and the decisions of the Sponsor, including the interpretation of these Official Rules and the exercise of its discretion, which will be final and binding in all respects.

1. Definitions: In these Official Rules, unless something in the subject matter or context is inconsistent therewith

1.1     “Entrant”: means an individual person and a resident of Canada who is at least the age of majority in his or her respective province. “Entrants” refers to more than one Entrant. 

1.2     “EST”: means Eastern Standard Time;

1.3     “1 Grand Prize Draws”: in accordance with Section 7.1, this refers to the selection of One (1) Grand Prize Winner, whereby the Promotion Administrator shall randomly select from all Valid Entries. One (1) Grand Prize Draws shall be held on each of the following dates and times:

Period 1:  Tuesday, October 8th, 2024 

1.4     “One Grand Prize Winner”: subject to the proposed Grand Prize Winner complying with the notice period in Section 3.2 and Section 7.1 of these Official Rules, this refers to the One (1) randomly selected entrants from the respective Grand Prize Draw. One (1) Grand Prize Winners shall receive one (1) Prize Package. 

 

• 1.5     “Official Rules”: refers to these official rules herein, read with all necessary application of the Privacy Policy found on the website as a hyperlink; https://woobox.com/g26za6/rules.

 

1.6     “Prize”: refers to the prize given to One(1) Prize Winner, for a total value of CAD $2,500.00+ of Milwaukee Products :

1.7     “Promotion”: refers to this Milwaukee Win With Team Red Sweepstakes as described by these Official Rules herein;

1.8     “Promotion Administrator”: refers to Techtronic Industries Inc. and any of its respective parent companies, subsidiaries and affiliated companies, retailers, sales representatives, dealers, distributors, licensees and the advertising, fulfillment, judging and promotion agencies involved with the development and administration of this Promotion and each of their respective officers, directors, employees, mandataries and agents and their immediate family members and persons domiciled in the same households of each (whether related or not) are not eligible to participate or enter the Promotion.

1.9     “Promotion Conditions”:  means that each Entrant must comply with the following conditions in order to be eligible for any prize and determined to be a Valid Entry:

1. Entrant must complete and submit the online form to be eligible for prizes;
2. each Valid Entry may win only one (1) time;
3. each Submission must be approved by either the Sponsor or the Promotion   
          Administrator, in their sole and absolute discretion, to be in compliance with these    
         Official Rules;

1.10    “Promotion Parties”: refers to the Sponsor and the Promotion Administrator;

1.11    “Promotion Periods”: refers to the date that the Promotion accepts Valid Entries, being until Tuesday, December 31st, 2024, at 11:59 PM (EST);

1.12    “Sponsor”: means any of or all of Techtronic Industries Canada, Inc., and any of its respective parent companies, subsidiaries and affiliated companies, retailers, sales representatives, dealers, distributors, licensees and the advertising, fulfillment, judging and promotion agencies involved with the development and administration of this Promotion and each of their respective officers, directors, employees, mandataries and agents;

1.13    “Submission”: means the procedural and substantive requirements to constitute one (1) Valid Entry, in accordance with Section 4 and Section 5 of these Official Rules, but every Submission must comply with:

(a)      the Promotion Conditions;

(b)      every Entrant must have reviewed, understood and agree to be bound by these Official Rules;

(c)      every Entrant must be capable of providing voluntary consent, and the Entrant must provide the requisite consent to release all information related to their Submission to the Promotion Parties, to be used in accordance with these Official Rules, including but not limited to the information in the Registration form;

(d)      all Entrants must correctly answer the mathematical skill testing question; and,

(e)       if an Entrant’s Valid Entry is selected as a one of three Grand Prize Winners and the selected Entrant is notified by the Promotion Administrator, then the Entrant shall send a picture of him or herself to the Promotion Administrator and the Entrant shall release all rights and interest in the photo to the Sponsor for the Sponsor’s sole use in accordance with the timeline in Section 7.2 of these Official Rules;

1.14    “Sweepstakes”: refers to the Promotion being carried on in compliance with the Competition Act, R.S.C. 1985, c. C-34, as amended from time to time, as a Sweepstakes whereby no purchase is necessary, purchasing of any Techtronic Industries Inc. product shall not improve the chances of success and each winner from a Weekly Draw or the Grand Prize Draw is selected at random from all Valid Entries;      

1.15    “Valid Entry” or generally as the “Valid Entries”: refers to a Submission that has complied with all requirements specified in these Official Rules and is eligible to be included in the random selection of the Prize Winners;

1.16    “Websites”: includes www.milwaukeetool.ca or any of the Sponsor or the Promotion Administrator’s Facebook, Instagram, Twitter or any social media page; 

2. Eligibility: The Promotion is open only to legal residents of Canada (the “Territory”) who are eighteen (18) years of age or older at the time of entry. Resident of Canada shall mean the same as provided for in subsection 250(1) of the Income Tax Act, R.S.C. 1985 c.1 (5th Supp.) as amended from time to time, and all Entrants must have reached the legal age of majority in their respective province or territory of residence at the time that the Submission was made. 

 

Despite the foregoing, the Promotion Parties are not eligible to participate or enter the Promotion. 

 

The Promotion is subject to all applicable federal, provincial, territorial and municipal laws and is void outside the Territory and where prohibited by law. By participating in this Promotion, each Entrant agrees to abide by and be legally bound by these Official Rules and decisions of the independent Promotion Parties, which shall be final in all matters relating to the Promotion. The Promotion Administrator may require proof of consent or any other documentation at any time and in any manner they deem appropriate.

 

1. Promotion Period:  The Promotion shall only accept Submissions during the Promotion Period, as defined by these Official Rules.

 

1. Residents of Canada : there will be one (1) Grand Prize entry period during the Promotion Period (as provided for in Section 1.3, individually referred to as the “Grand Prize Entry Period”) whereby the Grand Prize Entry Period  will begin on: Tuesday, October 8th, 2024  12:00:01 a.m. (EST) and will end at Tuesday, December 31st, 2024 at 11:59 p.m. (EST).

The Grand Prize Entry Period will correspond to a Grand Prize Draw (See Section 7, below for details). 

3. How to Enter: 

 

3.1     Internet access is required. Online entry is by filling out the survey form on the landing page; no other means of submission will be accepted.

3.2     Enter the Raffle by completing an online survey form Your Entry must meet the Submissions Guidelines and the Criteria (both as defined below).

3.3     Limit: One entry per person. Any attempt to violate Official Sweepstakes Rules and may result in disqualification. Each Entry must be submitted separately by the entrant him or herself through their Sweepstakes landing page. Use of automated devices to enter is prohibited; automated entries (including but not limited to entries submitted using any robot, script, macro or other automated service) are not permitted and may result in disqualification.

1. All Entries must meet the following submissions guidelines (the “Submissions Guidelines”):
2. The Entry must not contain false entry information such as name, address, email address or entry of any information that is not their own.
3. By submitting an Entry, you warrant and represent that that the Entry complies with the Submissions Guidelines. You agree to indemnify and hold harmless Sponsor from any claims to the contrary.

 

 

1. Rights Granted:

4.1     By participating in the raffle, you agree to abide by these Rules and the decisions of the Sponsor in awarding the Prize(s), which decisions shall be final and binding upon all entrants. Entrants who have not complied with these Rules are subject to disqualification. The Sponsor reserves the right, in its sole discretion, to terminate the Giveaway, in whole or part, and/or modify, amend or suspend the Giveaway, and/or these Rules in any way, at any time, for any reason without prior notice. For the purposes of the Giveaway and the awarding of a Prize, these Rules shall govern in all respects. Interpretation of these Rules and the decisions of any Sponsor representatives shall be final. By participating in the Giveaway, each entrant releases and holds harmless the Sponsor, its affiliates and/or representatives and their respective officers, directors, employees, representatives, and agents, (the “Releasees”) from any and all liability for any injuries, loss or damage of any kind to the entrant or any other person, including personal injury, death, or property damage, resulting in whole or in part, directly or indirectly, from acceptance, possession, use or misuse of any Prize, participation in the Giveaway, any breach of the Rules, or in any Prize-related activity. Each Entrant agrees to fully indemnify Releasees from any and all claims by third parties relating to the Giveaway, without limitation.

4.2     Personal information collected during the course of the raffle shall be used by the Sponsor and its authorized representatives solely for the purposes of conducting the raffle and awarding the Prize(s), and as agreed upon, and will not be used or disclosed for any other purpose unless required by law.

4.3     Any waiver of any obligation hereunder by Sponsor does not constitute a general waiver of any obligation to any or all of the Entrants. 

5.       Prize Drawings: 

5.1      Grand Prize Drawings: on the respective date and time noted in Section 1.21(a)-(l) of these Official Rules, at the end of the Grand Prize Entry Period, the Promotion Administrator will conduct a random drawing from its offices, located at 3381 Steeles Avenue East, Suite 400, Toronto, Ontario, M2H 3S8, from among all Valid Entries received during such Grand Prize Entry Period to select One (1) Grand Prize Winner in the Grand Prize Entry Period. Odds of winning a Prize Package will depend on one Valid Entry received during the applicable Grand Prize Entry Period. If a Valid Entry is selected as the potential Grand Prize Winner, the potential Grand Prize Winner shall be notified by the Promotion Administrator within two (2) business days of the respective Grand Prize Draw taking place. The potential Grand Prize Winners shall have five (5) business days to notify the Promotional Administrator that he or she will accept the Prize Package and further shall provide the Promotional Parties (as the case may be) with any such further information as may be requested. This information shall also be bound to and in accordance with the Privacy Policy and rights provided in [Section 5.5] and [Section 6] of these Official Rules.  Should the potential Grand Prize Winner not reply within the five (5) business days after the Promotion Administrator notifies them, then the Promotion Administrator may, in its sole and absolute discretion, void the selected ballot and randomly select another ballot until a Grand Prize Winner is announced. The winner will be required to answer a skill testing question correctly provided by the Sponsor within five (5) business days of date of receipt. Failure to respond to the Winner notification as detailed above within the stated time period, or to comply with any other provision herein, may result in the Winner being disqualified and an alternate winner may be selected at Sponsor’s sole discretion. The winner has two extra chances to answer the skill testing question correctly after the first initial email from the Sponsor. If the skill testing answer is incorrect after a total of (3) tries, it is up to the Sponsor to choose another winner. If a prize notification or Prize is returned as undeliverable for any reason, the Prize may be awarded to an alternate winner at Sponsor’s sole discretion. Prize is not transferable, assignable, or redeemable for cash. No substitution for the Prize by the Winner will be allowed. If necessary, due to unavailability of the Prize for any reason, a prize of equal or greater value will be awarded at the sole discretion of the Sponsor. The Sponsor has a period of eight (8) weeks from time of Winner’s acceptance to deliver prizing.

7.1.1  Acceptance of the Prize constitutes permission (except where prohibited) for Sponsor and/or its affiliates to use of Winner’s name, statements, photographs, video images and biographies for publicity purposes without any limitation or additional compensation.

1. Prizes, Approximate Retail Value (“ARV”): The following are the prizes that are available to be won in connection with the Promotion:

                    Prizes in this section 7.2 has a total ARV of $2,500.00+

1. All Prize elements are subject to availability. Delivery of each Prize will be agreed upon by Winners and Sponsor. Each Prize is non-transferable and may not be redeemed for cash. An unclaimed and/or unused Prize will remain the property of Sponsor.
2. Total ARV of all Prizes available to residents of Canada is CAD $2,500.00+ plus applicable tax. No substitution, cash redemption or transfer of prizes is permitted except at Sponsor’s sole discretion or as provided herein. If any prize, or any portion thereof, cannot be awarded for any reason, Sponsor reserves the right to substitute it with a prize of equal or greater value. All federal, provincial, territorial and municipal tax liabilities, and all other costs associated with acceptance or use of the prize(s), are the sole responsibility of the winner(s).  Arrangements for delivery of prize(s) will be made after winner validation.  LIMIT ONE (1) GRAND PRIZE PER PERSON/EMAIL ADDRESS/HOUSEHOLD.  At the Sponsor’s discretion, unclaimed prizes may not be awarded. All characteristics and features of the prizes, except as otherwise explicitly stated above, are at the Sponsor’s sole and absolute discretion.

 

1. Disclaimer of Warranties: Each product delivered will only include the limited warranty as expressly provided with the product and no other direct or implied warranty of merchantability or fitness for a particular purpose or any other warranty is provided.

 

1. Delivery of Prizes: The Grand Prize Winners shall be notified that they are the Winner of the Grand Prize Draw within two (14) business days of the respective draw. The Grand Prize Winners must submit additional information requested by the Promotion Administrator to ensure that delivery of the prize is completed as well as selecting any items that are included in the Grand Prize (the “Winner’s Notification”). After the respective winner provides the information necessary to complete the delivery of the prize, the Promotion Administrator shall deliver the corresponding prize within eight (8) weeks of receiving the Winner’s Notification.

 

7.  Notification & Validation of Winners: 

7.1     Potential winners will be contacted by direct message, telephone, or email and may be required, upon request, to complete, sign and return a declaration of eligibility, a liability release, and a publicity release within a stated amount of time. The return of any notification as undeliverable or failure to respond to notices or return any required documents or information in a timely manner or a determination that a potential winner is ineligible or not in compliance with these Official Rules, as determined solely by the Promotion Administrator in its sole and absolute discretion, may result in disqualification of the winner and forfeiture of the applicable prize, and the choosing of an alternate winner in a random drawing from among the remaining eligible Entries.  Each potential winner must first correctly answer a time-limited, mathematical skill-testing question (without assistance of any kind, mechanical or otherwise) if selected as a potential winner, in order to claim a prize.

3. electronic or digital transmissions or Entries, Submissions, Votes or any other Promotion-related information (collectively, “Promotion-Related Information”) that are lost, late, stolen, incomplete, illegible, damaged, garbled, destroyed, or misdirected, or not received by Sponsor or Promotion Administrator for any reason;
4. any problems or technical malfunctions, errors, omissions, interruptions, deletions, defects, delays in operation of transmission, communication failures (including but not limited to failures or malfunctions of phone lines, telephone systems or other communications systems), destruction of or unauthorized access to, or alteration of, Promotion-Related Information, or for printing, distribution or production errors;
5. failed or unavailable hardware, network, software or telephone transmissions;
6. damage to entrants’ or any person’s computer;
7. causes beyond Promotion Parties’ reasonable control that jeopardize the administration, security, fairness, integrity or proper conduct of this Promotion;
8. any Promotion-Related Information submitted in a manner that is not expressly allowed under these Official Rules (all such Promotion-Related Information will be disqualified);
9. incorrect or inaccurate Promotion-Related Information whether caused by entrants or by any of the equipment or programming associated with or utilized in the Promotion;
10. any typographical or other error in the printing or advertising related to the Promotion, in the administration or execution of the Promotion, or in the announcement/notification of prize winners;
11. by any human, or other error, which may occur in this Promotion or
12. cheating or fraud by any participant. All incomplete or non-conforming Promotion-Related Information will be disqualified.

 

1. Modification, Suspension and Termination: 
2. If for any reason this Promotion cannot be executed as planned, including but not limited to infection by virus, bugs, tampering, unauthorized intervention, fraud, technical failures, social media mandate, or any other causes beyond the control of Sponsor or Promotion Administrator that corrupt or affect the security, administration, integrity, fairness or proper conduct of this Promotion, or if this Promotion is compromised or becomes corrupted in any way, electronically or otherwise, Promotion Administrator reserves the right, in its sole discretion, to void suspect Promotion-Related Information and modify, suspend and/or terminate this Promotion. If the Promotion is terminated before the stated end date of the Promotion Period, the Promotion Administrator may select the winners in a random drawing from among all eligible, non-suspect Entries received as of the time/date of termination.

 

1. Disqualification and Verification: 

9.1    Promotion Administrator reserves the right, in its sole discretion, to disqualify any individual who tampers with or attempts to tamper with the entry process or the operation of the Promotion or Website; violates these Official Rules; acts in an unsportsmanlike or disruptive manner at any time during the Promotion; with the intent to annoy, abuse, threaten or harass any other person; or who attempts to enter using any automatic or programmed entry method, or any entry service.  All Promotion-Related Information are subject to verification at any time and for any reason.  The Promotion Administrator reserves the right, in its sole and absolute discretion, to require proof of identity and/or eligibility (in a form acceptable to the Promotion Administrator – including, without limitation, government issued photo identification): 

1. for the purposes of verifying an individual’s eligibility to participate in this Sweepstakes;
2. for the purposes of verifying the eligibility and/or legitimacy of any Promotion-Related Information entered (or purportedly entered) for the purposes of this Sweepstakes; and/or
3. for any other reason the Promotion Administrator deems necessary, in its sole and absolute discretion, for the purposes of administering this Promotion in accordance with these Official Rules.
4. Failure to provide such proof to the complete satisfaction of the Promotion Administrator within the timeline specified by the Promotion Administrator may result in disqualification in the sole and absolute discretion of the Promotion Administrator.
5. CAUTION: ANY ATTEMPT BY ANY PERSON TO DELIBERATELY CORRUPT OR UNDERMINE THE LEGITIMATE OPERATION OF THE PROMOTION MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS.  SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR AND/OR PROMOTION ADMINISTRATOR RESERVE THE RIGHT TO PROSECUTE AND SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW.

10.     Releases:

10.1    By participating in this Promotion, each Entrant agrees (and agrees to confirm in writing, if requested): 

1. to the maximum extent permitted by law, all causes of action arising out of or connected with this Promotion, or any prize awarded, shall be resolved individually, without resort to any form of class action; 

2. to release, defend, indemnify and hold harmless Promotion Parties and their respective employees, directors, officers, agents, representatives, successors and assigns (collectively, the “Released Parties”) from and against any liability, loss, claim or cause of action, including, but not limited to, injury, death or damages arising out of participation in this Promotion or the acceptance, possession, use or misuse of any prize received in this Promotion; and

3. to waive all rights to claim punitive, indirect, incidental and consequential damages, attorneys’ fees, court costs, or any damages other than actual out-of-pocket costs incurred to enter, and any and all rights to have damages multiplied or otherwise increased. 

NOTE: SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO APPLICABLE PORTIONS OF THE ABOVE MAY NOT APPLY TO YOU. 

11. Publicity: 

1. Except where prohibited, participation in the Promotion constitutes each Entrant’s permission for the Sponsor and its agencies to use the Entrant’s name, information provided in the Registration Form, photograph, voice and any other likeness for purposes of advertising and publicity in all media now known or hereinafter invented without territorial or time limitations and without compensation or notice.

The personal information collected through this Promotion is subject to Sponsor’s Privacy Policy located through the website in hyperlink form.  By entering this Promotion, you agree to the collection, use and disclosure of your personal information for the purpose of administering this Promotion and as described in the above Privacy Policy. In the event there is a conflict between Sponsor’s Privacy Policy and the terms and conditions of these Official Rules, these Official Rules shall prevail, govern and control.
   
    
4. The invalidity or unenforceability of any provision of these Official Rules shall not affect the validity or enforceability of any other provision. In the event that any provision or section is determined to be invalid or otherwise unenforceable or illegal, these Official Rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. In the event there is a discrepancy or inconsistency between disclosures or other statements contained in any Promotion-related materials or made by any representative of Sponsor or Promotion Administrator, and the terms and conditions of these Official Rules, these Official Rules shall prevail, govern and control.
   
    
5. Choice of Law and Jurisdiction:

This Promotion is offered only in the Territory and, subject only to the foregoing Section 16, is governed by the laws of Ontario, Canada.  By entering, each Entrant irrevocably consents to the sole and exclusive jurisdiction of the federal, provincial, and local courts located in Ontario for any action, suit or proceeding arising out of or relating to this Promotion.

2. The Promotion is administered and judged by Techtronic Industries Inc., 3381 Steeles Avenue East, Suite 400, Toronto, Ontario, M2H 3S8. All comments, questions and complaints regarding this Promotion must be directed to the Promotion Administrator only.
3. All trademarks used herein are the property of their respective owners. Manufacturers of the prizes offered in this Promotion do not sponsor or endorse this Promotion and are not affiliated with the Sponsor or Promotion Administrator in any way.
4. NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR WIN. PURCHASE OR PAYMENT DOES NOT IMPROVE YOUR CHANCE OF WINNING. ODDS OF WINNING DEPEND ON THE TOTAL NUMBER OF ENTRIES RECEIVED. Open only to legal residents of Canada (Excluding Quebec).
5. Void elsewhere and where prohibited. Promotion ends Tuesday, December 31st, 2024.
