WELCOME TO PRIMAL PET FOODS, INC.’S 2021 SHOPPING LIST SWEEPSTAKES! GIVEAWAY! WE WANT TO HELP FEED YOUR PETS FOR A YEAR TO HELP YOU BUILD A BETTER BOWL!

Eligibility. The Primal Pet Foods, Inc. Shopping List Sweepstakes 2021 (the “Sweepstakes”) is open to citizens and residents of the United States who are at least 18 years of age at the time of entry. The Sweepstakes is void where prohibited by law. Employees of Sponsor and Instagram, and each of their affiliates, wholesale distributors and individual retail licensees, if any, and Sponsor’s digital marketing contractor and its employees, as well as the immediate family and household members of each of them, are ineligible to participate in the Sweepstakes. Individuals under the age of 18 are not eligible to enter (or win) the Sweepstakes.

Sponsor. Primal Pet Foods, Inc., 535 Watt Dr. Suite B, Fairfield, CA 94534, www.primalpetfoods.com.

Agreement To Official Rules. By participating in the Sweepstakes, entrants fully and unconditionally agree to and accept these Official Rules and any and all decisions of the Sponsor in any way related to the Sweepstakes or its conduct, which decisions shall be made in Sponsor’s sole discretion and which shall be final and binding in all matters in any way related to the Sweepstakes. Sponsor’s forbearance in enforcing any provision of these Official Rules shall not constitute a waiver of that or any other provision. Under no circumstances shall Sponsor (or its affiliates or agents) be required to take any particular enforcement, remediation or other action related to the Sweepstakes.

Timing. The Sweepstakes begins at 9:00 am PST on Monday, February 1st, 2021 and ends at 11:59 PM PST on Friday, December 31st, 2021 (the “Sweepstakes Period”). Sponsor's servers and clock shall serve as the sole official register and clock for the Sweepstakes and participants’ proof of any submission does not constitute proof of receipt by Sponsor.

How To Enter. Provided an entrant’s Submission is submitted and received by Sponsor during the Sweepstakes Period and conforms to these Official Rules, an entrant will receive one (1) entry into the Sweepstakes for each Submission made, i.e., one chance to be drawn as a potential winner.

By entering via one of the two below options, entrants agree that their Submissions conform to these Official Rules including the guidelines and content restrictions set forth below in these Official Rules, and that Sponsor, in its sole discretion, may remove any Submission and/or disqualify any entrant from the Sweepstakes if it believes a Submission fails to so conform.

Option 1.

Generate a Primal Shopping List by completing the Bowl Builder Tool for your pet at www.buildabetterbowl.com. A public Instagram account is required. During the Sweepstakes Period, follow @primalpetfoods on Instagram, post a photo of your visit to a neighborhood pet specialty retailer that sells Primal Pet Foods with your Primal Shopping List. Post must include the hashtag #PrimalShoppingList for the entry to be valid. Post may include a tag to the neighborhood pet specialty retailer and/or @primalpetfoods. Photo may include a Primal Shopping List in-store, and is encouraged. Photo may include your pet in-store alongside Primal products or a Primal display in-store.

If you do not have the Instagram App, you may be able to download it through the application store on your mobile device. Creating an Instagram account is free, but doing so, and using it for the Sweepstakes, is subject to Instagram’s terms and conditions and its privacy policy. Neither Sponsor (nor its affiliates or agents) shall have any responsibility or liability in the event any putative entrant is unable to download or utilize the Instagram App, which is not owned, controlled or managed by Sponsor (or its affiliates or agents).

Option 2.

Generate a Primal Shopping List by completing the Bowl Builder Tool for your pet at www.buildabetterbowl.com. Open to eligible entrants. During the Sweepstakes Period, use the Sweepstakes landing page www.primalpetfoods.com/sweepstakes to submit a photo of your visit to a neighborhood pet specialty retailer that sells Primal Pet Foods with your Primal Shopping List. Photo may include a Primal Shopping List in-store, and is encouraged. Photo may include your pet in-store alongside Primal products or a Primal display in-store.

No Other Means To Enter/Limits. No other methods of entry are available or acceptable. There is no limit to the number of times an entrant may enter during the Sweepstakes Period, but each Submission must be unique and each entrant is limited to one prize during the Sweepstakes Period -- you can only win once, if at all, no matter how many times you enter. Submissions shall not be returned or acknowledged. No mechanically reproduced or photocopied entries are permitted. Neither Sponsor nor its affiliates or agents shall be responsible or liable for lost, stolen, late, damaged, incomplete, misdirected, unintelligible, improperly accessed, altered, returned, or undelivered Submissions, related communications or prizes. Any Submission not received by Sponsor, or received late by Sponsor, due to any information or communication system or communication failure, no matter the cause or who is technically responsible (including Sponsor or its agents or affiliates or Instagram), shall be void and shall not be honored.

Content Guidelines And Restrictions.

No Submission may include any personal or private information of or about a third party such as an address, phone number, email address, photo, video, or any other personal or private information of any nature.

All Submissions must comply with all applicable laws as well as all applicable terms and conditions, standards and policies of Sponsor and/or Instagram, as may be applicable, as published, in the case of Sponsor, in these Official Rules and on its website and, in the case of Instagram, as published on its website and anywhere else it may publish its terms and conditions, standards and policies.

No Submission may be offensive, as determined by Sponsor in its sole discretion, nor may any Submission defame or invade the publicity, privacy or intellectual property rights of any person or entity, or otherwise in any way infringe upon any person or entity’s rights of any nature.

No Submission may unlawfully disparage or otherwise defame Sponsor, Instagram, or any affiliate or agent of either of them, or any affiliated or related product or service. Without limiting the foregoing, no Submission may unlawfully disparage or otherwise defame any person or entity.

Verification Of Entries/Winners. All entries (including all potential winning entries) are subject to verification by Sponsor, whose related decisions, made in its sole discretion, shall be final and binding. An entrant is not a winner of any prize unless and until the entrant’s eligibility and the potential winning Submission have been verified, all information (including potential winner’s mailing address) and any documents required by Sponsor, if any, have been returned to Sponsor, and entrant has been notified that verification is complete. If, for any reason, an entrant’s Submission is erroneously deleted, lost, or otherwise destroyed or corrupted, no matter the cause or who may be technically responsible (including Sponsor or its agents or affiliates or Instagram), entrant’s sole remedy is another timely entry, if any.

Prizes/Value/Odds. Eleven (11) prizes shall be awarded during the Sweepstakes, one every month. Each prize shall consist of twenty four (24) of the below, specific coupons, mailed to winners two (2) per month for twelve (12) months. Of the two (2) coupons sent monthly, one shall be from each of the two (2) below, specific categories. Which coupons within a category are awarded shall be within Seller’s sole discretion. There is a maximum of 264 possible coupons available as prizes, no more. There are no other prizes. Coupons are redeemable at certain primal retailers.

● One (1) Coupon for a Free Bowl Builder redeemable at a retail store for one (1) of the following items: 16oz Raw Goat Milk, 20oz Bone Broth or 16oz Edible Elixir/Fresh Topper. Approximate Retail Value (‟ARV”): $6.99-$11.99

● One (1) Coupon for a Free Balanced Base redeemable at a retail store for one (1) of the following items: 3lbs Canine or Feline Nuggets, 6lb Canine Patties, 4lb Canine Pronto, 1lb Feline Pronto, 5.5oz Canine or Feline Freeze-Dried Nuggets, or 14oz Canine or Feline Freeze-Dried Nuggets. Approximate Retail Value (‟ARV”): $8.99-$64.99

TOTAL ARV OF INDIVIDUAL PRIZES (per winner): $191.76-$923.76

TOTAL ARV OF ALL PRIZES (all 11 winners): $2,109.36-$10,161.36

The above figures are approximations. The actual value of any prize may vary. If the actual value of any prize or any portion thereof is less than the ARV set forth in these Official Rules, no cash or product equivalent or any other compensation of any nature shall be provided.

Odds of winning are currently unknown to Sponsor and will depend on the total number of eligible entries received. Odds of winning drop as eligible entries rise in proportion to any particular entrant’s number of entries. Potential entries are unlimited.

Potential Winners’ Selection. On or about March 15th 2021, April 15th 2021, May 15th 2021, June 15th 2021, July 15th 2021, August 15th 2021, September 15th 2021, October 15th 2021, November 15th 2021, December 15th 2021, January 15th 2022, one potential winner shall be selected in a random drawing from among all eligible entries received during the Sweepstakes Period up until each selection date.

Potential Winners’ Notification And Required Response. One potential winner per month will be notified via email, Instagram comment tagging or Instagram direct messaging on or about the 15th of each month. Potential winners must respond to such notification via Instagram direct message to @primalpetfoods (www.instagram.com/primalpetfoods) or via email at sweepstakes@primalpetfoods.com within three (3) days of notification. In the event of noncompliance with the stated response time or modes, a potential winner shall be disqualified and any prize shall be forfeited and an alternate winner shall be selected as set forth below in these Official Rules. Any prize notification or prize returned to Sponsor or its affiliates or agents as undeliverable shall result in disqualification and the awarding of that prize to an alternate winner as set forth below in these Official Rules. If a potential winner cannot be reached or does not complete, sign and return any information and documents requested by Sponsor by the designated time via the designated modes, fails to respond to any communications from Sponsor by the designated time via the designated modes, or is for any other reason deemed to be ineligible or disqualified, then that potential winner shall forfeit the prize and an alternate winner shall be selected as set forth below in these Official Rules. In the event of ineligibility or disqualification, the potential winning entry shall be removed from the remaining eligible entries, after which another potential winner will be selected from among all other eligible entries in the manner described in the “Potential Winners’ Selection” provisions of these Official Rules, above.

Prize Conditions.

Winner may not substitute or transfer any prize offered or any portion thereof. Prizes are subject to availability. Not all prizes are guaranteed to be available. Sponsor, in its sole discretion, chooses among specified possible prizes. Sponsor reserves the right, but shall not have the obligation, to substitute any prize with another prize of equal or greater value.

Winner shall pay all applicable sales taxes upon redeeming coupons at retail locations.

No more than the maximum number of prizes set forth in these Official Rules shall be awarded. In the event that, for any reason, more than the maximum number of prizes as set forth in these Official Rules are claimed, Sponsor reserves the right, in its sole discretion, to award only the maximum stated number of prizes by way of a random drawing among all legitimate, eligible and unawarded prize claimants.

All expenses relating to acceptance and use of any prize, such as any expenses associated with claiming or picking-up a prize at a retailer, are the sole responsibility of the winner.

Sponsor is not responsible for damage to a prize or loss of a prize after the prize has been claimed.

No Warranties/Rights And Damages Limitations/Indemnity. TO THE FULLEST EXTENT ALLOWED BY APPLICABLE LAW, ALL PRIZES AND THEIR INGREDIENTS AND OTHER COMPONENTS ARE AWARDED “AS-IS,” WITHOUT ANY WARRANTIES WHATSOEVER, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, LEGAL COMPLIANCE AND NON-INFRINGEMENT. TO THE FULLEST EXTENT ALLOWED BY APPLICABLE LAW, ENTRANT WAIVES, AND RELEASES SPONSOR AND ITS AFFILIATES AND AGENTS AND INSTAGRAM FROM, ALL LIABILITY UNDER CONTRACT OR STATUTE OR IN TORT, WHETHER FOR NEGLIGENCE, STRICT LIABILITY OR OTHERWISE, IN ANY WAY ARISING OUT OF OR RELATED TO THE SWEEPSTAKES, ANY PRIZE AND THESE OFFICIAL RULES. TO THE FULLEST EXTENT ALLOWED BY APPLICABLE LAW, ENTRANT WAIVES, AND RELEASES SPONSOR AND ITS AFFILIATES AND AGENTS AND INSTAGRAM FROM, ALL LIABILITY FOR ANY DAMAGES OF ANY NATURE, WHETHER COMPENSATORY OR EXEMPLARY, DIRECT OR INDIRECT, INCIDENTAL, CONSEQUENTIAL OR OTHERWISE, OR ANY PENALTIES OR FINES, IN ANY WAY ARISING OUT OF OR RELATED TO THE SWEEPSTAKES, ANY PRIZE AND THESE OFFICIAL RULES. WITHOUT LIMTING ANY OF THE FOREGOING, NEITHER SPONSOR NOR ITS AFFILIATES OR AGENTS, NOR INSTAGRAM, SHALL BE RESPONSIBLE OR LIABLE FOR ANY INJURY OR DAMAGE TO ENTRANT’S OR ANY OTHER PERSON OR ENTITY’S COMPUTER, SOFTWARE, DATA OR OTHER PROPERTY IN ANY WAY ARISING OUT OF OR RELATED TO ENTRANT’S PARTICIPATION IN THE SWEEPSTAKES. SOME JURISDICTIONS PRECLUDE OR LIMIT THE EXCLUSION OR LIMITATION OF WARRANTIES, TORT LIABILITY AND/OR DAMAGES. TO THE FULLEST EXTENT ALLOWED BY APPLICABLE LAW, ENTRANT AGREES TO INDEMNIFY AND HOLD HARMLESS SPONSOR, ITS AFFILIATES AND ITS AGENTS, AND INSTAGRAM, FOR ALL LOSSES OF ANY NATURE INCURRED THAT ARISE OUT OF OR ARE RELATED TO ENTRANT’S PARTICIPATION IN THE SWEEPSTAKES.

Licenses/Copyright/Proprietary Information. By entering into the Sweepstakes, and to the fullest extent permitted by applicable law, entrant grants Sponsor (and its affiliates and agents), and Instagram, the perpetual, irrevocable right, permission and license to use, in any manner, and to edit, otherwise modify, adapt, reproduce, promote, display, distribute and assign, separately or together, in whole or in part, any and all information submitted by entrant, including entrant’s name, voice, statements, video, photographs, likeness, recorded performance and/or biographical information, and all other information of any nature submitted by entrant, in and on any and all media, now known or hereinafter developed, including the internet, throughout the world, for any and all purposes, including, without limitation, the purposes described in these Official Rules and for other promotional and advertising purposes, without notice, review, further permission, royalty payments or compensation of any nature whatsoever, nor any attribution whatsoever. Entrant’s agreement as stated in this section specifically extends to and includes, but is not limited to, any and all intellectual property (including copyrighted matter) and related rights and any and all confidential proprietary and trade secret information and related rights.

Tampering Or Abuse/Rules’ Violation. Persons who tamper with or abuse any aspect of the Sweepstakes, act in violation of the Official Rules, or act in any manner to threaten or abuse or harass any person in connection with the Sweepstakes, as determined by Sponsor in its sole discretion, shall be disqualified from the Sweepstakes. Any use of robotic, macro, automatic, programmed or like entry methods or aids shall void all related entries and shall subject the entrant to disqualification. Should any portion of the Sweepstakes be, in Sponsor’s sole discretion, compromised by virus, worms, bugs, unauthorized human intervention or any other cause which, in the sole discretion of the Sponsor, may corrupt or impair the administration, security, fairness or proper play of the Sweepstakes, or the submission of any entries, Sponsor reserves the right, in its sole discretion, to suspend, modify or terminate the Sweepstakes and to thereafter randomly select winners from valid entries received prior to the action taken or otherwise as may be deemed fair and equitable by Sponsor.

Dispute Resolution By Binding Arbitration/Applicable Law. To the fullest extent allowed by applicable law, any and all claims or other disputes arising out of or related to the Sweepstakes and these Official Rules shall be finally resolved, exclusively, by binding arbitration before JAMS, exclusively in San Francisco County, California. There shall be no class or representative arbitration. To the fullest extent allowed by applicable law, entrants waive any civil court and jury trial rights they may have, if any. The Sweepstakes, these Official Rules, and entrants’ related rights shall be governed by California law, without regard to any conflict or choice of law rules.

Information Submitted And Privacy. All information submitted by entrants is subject to Sponsor’s Privacy Policy located at https://primalpetfoods.com/pages/privacy-policy.

Rules Request And Winner List. To obtain a copy of these Official Rules or a list of the winners, please send an email to sweepstakes@primalpetfoods.com. All such requests must be received by January 31, 2022.

No Instagram Affiliation. This Sweepstakes is in no way sponsored, endorsed or administered by, or in any manner associated with, Instagram.
