KINGS OF NEON KARAOKE CONTEST

OFFICIAL RULES

NO PURCHASE NECESSARY TO ENTER OR WIN.  A PURCHASE WILL NOT IMPROVE YOUR CHANCES OF WINNING.  Contest subject to all applicable federal, state and local laws, and void where prohibited or restricted.  Contest in no way sponsored, endorsed or administered by, or associated with Instagram, LLC.

1.         Eligibility.  The KING OF NEON KARAOKE CONTEST (“Contest”) is open only to legal residents of the forty-eight (48) contiguous United States and the District of Columbia who are at least eighteen (18) years old at the time of the Entry submission and who are physically present in the United States during the Contest Period (each, a “Participant” or “you” and, collectively, “Participants”). 

As of July 19, 2019, and through August 2, 2019, no Participant may have a current recording contract or be bound by any obligations to any third party that would conflict with the rights, or interfere with the Sponsor’s exercise of the rights, granted herein in accordance with these Official Rules.

The Participant must appear in the Video (as defined below) to be eligible to win a prize. Any individual who does not appear in the Video, will not be eligible to win a prize. Only one participant shall appear in the Video. Further, the Participants selected as the Finalist (as defined below) must be available to perform in Nashville, TN on August 28, 2019 at Losers Bar and Grill.

Employees, officers and directors of Country Music Hall of Fame® and Sony Music Entertainment, and each of their respective parent companies, subsidiaries, affiliates, licensees, agents, representatives, contractors, and advertising, promotion, marketing and fulfillment agencies, and such employees’, officers’ and directors’ immediate families (parents, children, siblings and spouses, and their respective spouses, regardless of where they reside) and persons living in the same household (whether related or not), are not eligible to participate or win. 

3.         Entry Period.  The Contest begins at 2:00 p.m. Central Time on July 19, 2019 and ends at 11:59 p.m. Central Time on August 2, 2019 (“Contest Period”).  All Entries must be received during the Contest Period.  The Sponsor’s computer is the official time-keeping device for this Contest. 

  1. Feature the musical performance of one (1) Song
  2. Feature only one (1) Participant in the Video
  3. Be no longer than four (4) minutes long
  4. Be created specifically for this contest
  5. Be uploaded to Instagram in any format acceptable to Instagram
  6. Comply with the terms of services and specifications for user submissions and/or video uploads provided on Instagram, available at the following link:  https://help.instagram.com/581066165581870
  7. Shall not contain material that violates or infringes another’s rights, including, but not limited to, material that violates privacy, publicity, or intellectual property rights, or that constitutes copyright or trademark infringement;
  8. Shall not include third parties, including but not limited to minors, celebrities, and friends who have not expressly authorized Participant to display their image, likeness, or voice in any submitted Video or otherwise use such image, likeness, or voice in accordance with these Official Rules
  9. Shall not feature any prerecorded music and/or sound recordings that are not originally created by Participant
  10. Shall comply with all Guidelines and Restrictions provided in Section 5, below

6.         Selection of Finalist.   Subject to the terms and conditions set out in these Official Rules, from 8:00 AM Central Time (“CT”) on or about August 3, 2019 until 11:59:59 PM CT on or about August 11, 2019 (the “Video Review Period”), a judging panel, selected by the Sponsor, in its sole discretion, and comprised of employees of Sony Music Nashville shall review and score all Entries and select the top ten (10) Participants (or fewer, depending on the number of total eligible Entries), who will become the potential Finalists based on the following criteria:

  1. Artistic Merit (25%)
  2. Commercial appeal (25%)
  3. Overall impression and impact (25%)
  4. Creativity (25%)

Tie Breaker:  In the unlikely event of a tie (i.e., one or more potential Finalists with identical vote totals), a Finalists shall be the Participant whose Video received the higher score based on the overall impression/impact.

7.         Selection if Grand Prize Winner and Runner Up Prize Winners.    

The Grand Prize Winner and Runner Up Prize Winners will be selected at the Live Event bring held at Losers Bar and Grill in Nashville, TN on August 28, 2019.  Each Finalists will perform one (1) Brooks & Dunn song of their choice at the Live Event.  After each performance and at the end of all performances the patrons and audience at the Live Event shall cheer for the Finalist that performed the best based on the criteria provided in this paragraph out of all of the Finalist.  The criteria shall be: (I) Artistic Merit, (II) Commercial Appeal and (III) Overall Impression and Impact.  Whichever Finalist receives the loudest cheering shall be deemed the potential Grand Prize Winner. The next five (5) Finalists with the loudest cheering shall receive the Runner Up Prizes.

Tie Breaker:  In the unlikely event of a tie (i.e., one or more potential Winners with identical cheer levels and amounts), the potential Winners shall perform again (performing either the same or another Brooks & Dunn song) and the potential Winner with the highest level and amount of cheering after the “tie-breaker” performance shall be deemed the Grand Prize Winner.

8.         Prize.  Subject to the conditions set forth herein, the Sponsor will award one (1) Grand Prize consisting of: (I) One (1) recording opportunity at Historic RCA Studio B to be scheduled before December 31, 2019 at a time and date mutually determinable between Sponsor and the Grand Prize Winner, provided use of recording opportunity shall be for non-commercial purposes and subject to separate RCA Studio B rules and restrictions, to be provided to Grand Prize Winner prior to the recording opportunity; (II) two (2) tickets to the Country Music Hall of Fame® and Museum located in Nashville, TN to explore the new Brooks & Dunn exhibit for the Grand Prize Winner and one (1) guest; (III) a flyaway trip for two (2) people, the Grand Prize Winner and one (1) guest (the “Guest”), to a Las Vegas, NV area airport to see a Brooks & Dunn residency show in Las Vegas, NV on a date determined by Sponsor. Dates are non-negotiable. Event dates subject to change in Sponsor’s sole discretion. If Grand Prize Winner, together with Guest, cannot travel on dates specified by Sponsor, Grand Prize Winner will forfeit all rights to the prize. Sponsor is not responsible if potential Grand Prize Winner is unable or unavailable to accept prize. The trip will include: (i) roundtrip economy coach class air transportation for Grand Prize Winner and Guest which shall originate from a major U.S. gateway airport of Sponsor’s choice nearest Grand Prize Winner’s residence (as determined by Sponsor in its sole discretion) to a Las Vegas, NV area airport. Sponsor reserves the right to substitute ground transportation if Grand Prize Winner resides within 200 miles of Las Vegas, NV; (ii) two (2) night hotel accommodations, at Hotel, selected at Sponsor’s sole discretion, in Las Vegas, NV for Grand Prize Winner and Guest which shall be one (1) room based on double occupancy (meals, telephone calls, tips and other incidentals and costs are not included).  If Grand Prize Winner is not available to travel on the dates specified by Sponsor in their sole discretion, the Grand Prize Winner’s privileges and the Grand Prize will be terminated and an alternative Grand Prize Winner will be randomly selected from the remaining Eligible Finalists. Grand Prize Winner and Guest must travel on the same itinerary. Grand Prize Winner and Guest must travel on the dates specified by Sponsor or the Grand Prize will be forfeited. Guest traveling with Grand Prize Winner must be at time of Grand Prize fulfillment eighteen (18) years of age or older. The Grand Prize Winner and his/her Guest must comply with all venue, airline and hotel rules and regulations; failure to do so may result in forfeiture of the Grand Prize. Sponsor will determine the airline, and hotel in its sole discretion. Travel restrictions, conditions and limitations may apply. Travel arrangements are subject to availability and must be roundtrip. Sponsor shall not be responsible for any cancellations, delays, diversions or substitution or any act or omissions whatsoever by the air carriers, hotels or other transportation companies or any other persons providing any of these services and accommodations necessitated by same. Sponsor shall not be liable for any loss or damage to baggage.

All expenses, travel and other costs not expressly stated in the prize description above, including, without limitation, transportation, ground transportation, and costs to travel in connection with the Prize, and any meals, luggage fees, gratuities, deposits, incidental charges and trip insurance, are the sole responsibility of the Grand Prize winner and his/her guest. The Grand Prize is non-negotiable

Arrangements for fulfillment of the Grand Prize will be made by Sponsor. All costs and expenses not specifically listed above, including, without limitation, meals, snacks, beverages, mini-bar, entertainment, tips, souvenirs, personal expenses, local transportation in Las Vegas, NV, damages to hotel rooms, baggage fees and any equipment to be used in connection with the Grand Prize are solely Grand Prize Winner’s responsibility. The value of the Grand Prize will be taxable to the Grand Prize Winner as income. Grand Prize Winner must supply Sponsor with his/her social security number for tax purposes. IRS Form 1099s will be issued in the name of Grand Prize Winner for the actual value of the Grand Prize received. Upon entry into this Contest, Grand Prize Winner (as well as all other Participants) is required to comply with any and all applicable federal, state, and local laws, rules, and regulations. All federal, state and local taxes, and any other costs not specifically provided for in these Official Rules are solely the Grand Prize Winner’s responsibility. Sponsor shall have no responsibility or obligation to a Grand Prize Winner or potential Grand Prize Winner who is unable or unavailable to accept or utilize Grand Prize as described herein.  No substitution, transfer or cash equivalent of the Grand Prize or any portion thereof permitted, except by Sponsor, in which case a prize of comparable or greater value may be awarded.

Subject to the conditions set out below, the Sponsor will award five (5) Runner Up Prizes consisting of: (I) A tour of the Country Music Hall of Fame® and Museum for each Runner Up Prize Winner and one (1) guest; and (II) one (1) CD titled “Reboot” which has been autographed by Brooks & Dunn.

The Grand Prize winner and his/her guests and the Runner Up Prize Winners must comply with all of the Sponsor’s instructions with respect to the prize fulfillment and their attending, and traveling to, from, and in connection with the concert, failure to do so may result in forfeiture of the prize.  All elements of the prize must be redeemed at the same time, and no changes will be permitted after confirmation of any redemption.   

For avoidance of confusion, in no event will there be more than one (1) Grand Prize winner.  In the event that a winner and/or his/her guests engage in behavior that, as determined by the Sponsor, in its sole discretion, is obnoxious or threatening, illegal, or intended to annoy, abuse, threaten or harass, the Sponsor reserves the right to terminate the prize, in whole or in part.

No portion of the Grand Prize or Runner Up Prize is redeemable or exchangeable for cash, and all portions of the Grand Prize and Runner Up Prize are subject to availability and to terms and conditions of use.  The winners and his/her guests must comply with all venue rules and regulations; failure to do so may result in forfeiture of the Grand Prize or Runner Up Prize. The concert and museum tickets will not be mailed and must be picked up at the concert venue and/or Sponsor’s Will Call.  The winner and his/her guests must present valid government-issued photo identification to claim the tickets and other portions of the Grand Prize or Runner Up Prize, as provided by Sponsor.         

After a potential winner responds to the initial notification and he/she and his/her guests are verified and determined to be eligible to accept and participate in the Grand Prize, the Sponsor will send to the potential winner a Winner Notification, an Affidavit of Eligibility, Winner and Guest Liability Releases, and an IRS W-9 Tax Form.  All documents must be completed according to the instructions in the Winner Notification.  An electronic copy of the completed documents must be returned to the Sponsor by e-mail, no later than seventy-two (72) hours from the time of the notification, and the original completed documents must be returned by mail, postmarked no later than five (5) business days from the date on the Winner Notification, and addressed and otherwise sent as indicated in the Winner Notification.  

If the Winner Notification or any subsequent communications to a potential winner are returned as undeliverable, if a potential winner does not respond to the Sponsor’s notification or subsequent communications within the set time period, if a potential winner is determined to be ineligible, if a potential winner otherwise fails to fully comply with these Official Rules, or if a potential winner declines any portion of the prize, he/she will forfeit the entire Grand Prize, he/she and his/her guests will not be entitled to any form of prize, award or compensation, and an alternative potential Grand Prize winner may be selected, time permitting, in the Sponsor’s sole discretion.  Up to three (3) alternative potential Grand Prize winners may be selected.  Alternative potential winners will be selected in a random drawing from among the remaining eligible non-winning Entries received during the Contest Period, and each such winner and his/her guests will be subject to verification.  If all alternative potential winners are disqualified, the Grand Prize will not be awarded. 

A potential winner may be confirmed as a “winner” only after all of requested information and completed documents are received by the Sponsor and after the potential winner’s eligibility is verified by the Sponsor.     

The Sponsor is not responsible, and will not be liable, for late, lost, misdirected, or unsuccessful efforts to notify a potential Grand Prize winner, or for any change in the potential winner’s e-mail address or telephone number. 

14.        Suspension; Modification; Termination: The Sponsor and the Administrator, and their respective contractors and/or agents, are not responsible for printing or typographical errors in these Official Rules or in any Contest-related materials.  If the Contest is not capable of running as planned due to any reason, including, but not limited to, infection by computer virus, bugs, tampering, fraud, unauthorized intervention, technical failures or any other causes that may corrupt or impair the integrity, fairness or proper play of the Contest, the Sponsor may, in its sole discretion, terminate, suspend, cancel or modify the Contest and may award the Grand Prize from among all eligible, non-suspect Entries received as of the date of termination or modification, as applicable, using the winner selection process outlined in Sections 6 and 7 above, or otherwise in a random drawing.  The Sponsor and the Administrator are not responsible or liable for any events that may cause any errors or failure and/or may cause the Contest to be suspended, modified or terminated, including, but not limited to, any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction, or unauthorized access to, or alteration of, the Entries, nor are they responsible for any problems or technical malfunction of any computer, telephone, network, telephone lines, computer online systems, servers, cable, satellite or Internet Service Providers, computer equipment, mobile equipment, software, or for any injury or damage to a Participant’s or any other person’s computer or mobile device relating to or resulting from participation in this Contest or accessing or downloading any materials in this Contest.  The Sponsor and the Administrator are not responsible for any computer, mobile, mechanical, technical, electronic, network or other errors or problems, including any errors or problems that may occur in connection with the administration of the Contest, the processing of the Entries, or in any other Contest-related materials.  The Sponsor reserves the right, at its sole discretion, to disqualify and void the Entry of any Participant who is found or believed to have attempted to tamper with or to impair the administration, security, fairness or proper play of this Contest, or to have otherwise acted in violation of these Official Rules, or in an un-sportsmanlike, obscene, immoral or disruptive manner, or with the intent to annoy, abuse, threaten or harass.  Should more prizes be awarded through a computer, hardware, or software malfunction, error or failure, or for any other reason, than are stated in these Official Rules, the Sponsor reserves the right to award only the number of prizes stated in the Official Rules.  In no event will more prizes be awarded than as described in Section 8.
